The Buyer is a licensed healthcare and wellness services provider operating within the municipality of Beijing, People's Republic of China.

Supplier (Service Provider): Dr. Liang Wei, Licensed Clinical Psychologist, registered under the Chinese Psychological Society (CPS) with License No. CPS-2019-BJ-33847, operating as an independent professional practice at 12 Fuxing Road, Haidian District, China Beijing. The Psychologist holds a Doctor of Philosophy (Ph.D.) in Clinical Psychology from Peking University and is fully authorized to provide psychological assessment, counseling, and therapeutic services within the jurisdiction of China Beijing.

This Purchase Order is issued by the Buyer to formally engage the services of the Psychologist for the provision of professional psychological services to the Buyer's corporate employees and affiliated wellness program participants. The scope of this Purchase Order encompasses a comprehensive engagement of the Psychologist over a twelve-month period, commencing on 1 July 2025 and concluding on 30 June 2026. All services rendered under this Purchase Order shall be conducted in accordance with the professional standards, ethical guidelines, and regulatory requirements established by the Chinese Psychological Society and the National Health Commission of the People's Republic of China, as applicable to the practice of psychology in China Beijing.

All amounts are stated in Chinese Yuan Renminbi (CNY) and are inclusive of applicable Value Added Tax (VAT) at the prevailing rate of 6% for professional services in China Beijing. Any additional services requested beyond the scope of this Purchase Order shall be subject to a separate written amendment.

4.1 Professional Qualifications and Compliance. The Psychologist warrants that he/she maintains all necessary licenses, registrations, and professional certifications required to practice clinical psychology in China Beijing. The Psychologist shall comply with all applicable laws, regulations, and professional ethical codes, including the "Regulations on the Administration of Psychological Services" issued by the National Health Commission and the "Code of Ethics for Chinese Psychologists" promulgated by the Chinese Psychological Society.

4.2 Confidentiality and Data Protection. The Psychologist shall maintain strict confidentiality of all client records, session notes, and assessment data in accordance with the "Personal Information Protection Law of the People's Republic of China" (PIPL) and the "Data Security Law." No participant information shall be disclosed to the Buyer or any third party without the explicit written consent of the individual, except where required by law or court order in China Beijing.

4.3 Payment Schedule. Payment under this Purchase Order shall be made in four equal quarterly installments of ¥ 69,500.00 each, due within thirty (30) calendar days of the end of each calendar quarter. Payment shall be made via bank transfer to the account designated by the Psychologist. Late payments shall accrue interest at a rate of 0.05% per day as stipulated under the Civil Code of the People's Republic of China.

4.4 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Psychologist shall ensure a smooth transition of all ongoing client cases to a qualified successor Psychologist in China Beijing, with the written consent of each affected participant.

4.5 Dispute Resolution. Any dispute arising out of or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to the Beijing Arbitration Commission (BAC) for arbitration in accordance with its then-current rules. The arbitration shall be conducted in Chinese, and the award shall be final and binding upon both parties.

4.6 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the legal framework applicable to professional services in China Beijing.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between the Buyer and the Psychologist for the provision of the services described herein in China Beijing.
