The Psychologist shall provide comprehensive clinical and organizational psychology services as detailed in the line items below. All services rendered under this Purchase Order shall be performed in accordance with the regulations established by the Colombian Ministry of Health and the professional standards set forth by the Colombian Association of Psychology (Asociación Colombiana de Psicología). The Psychologist is expected to maintain full compliance with all applicable laws of Colombia, including but not limited to Law 1122 of 2007 (Health Sector Regulation) and the professional code of ethics governing psychologists in Colombia Bogotá.

4.1 Payment Terms: Payment for services rendered under this Purchase Order shall be made within fifteen (15) calendar days from the date of receipt of a valid invoice (factura) issued by the Psychologist. Payment shall be processed via bank transfer to the account designated by the Psychologist. All amounts are denominated in Colombian Pesos (COP) and are subject to applicable withholding taxes (retención en la fuente) as determined by the Colombian tax authority (DIAN).

4.2 Service Location: Unless otherwise specified in the line items, all in-person services shall be conducted at the Psychologist's registered practice in Bogotá, D.C., Colombia, or at the facilities of the issuing institution located in Bogotá. The Psychologist shall ensure that all physical spaces comply with the accessibility and safety standards required by Colombian regulations.

4.3 Confidentiality and Data Protection: The Psychologist shall handle all patient information in strict accordance with Law 1581 of 2012 (General Data Protection Law of Colombia) and the professional confidentiality obligations inherent to the practice of psychology in Colombia. No patient records, session notes, or diagnostic reports shall be disclosed to any third party without the written consent of the patient, except where mandated by Colombian law.

4.4 Professional Standards: The Psychologist warrants that all services provided under this Purchase Order shall be performed with the competence, diligence, and ethical conduct expected of a licensed psychologist in Colombia Bogotá. The Psychologist shall maintain active professional liability insurance (seguro de responsabilidad civil profesional) throughout the duration of this Purchase Order.

4.5 Cancellation and Rescheduling: Sessions may be rescheduled with a minimum of 24 hours' prior notice. Cancellations made less than 24 hours before a scheduled session shall be billed at 50% of the session fee. The Psychologist may cancel a session due to force majeure or medical emergency, in which case no fee shall be charged and the session shall be rescheduled at no additional cost.

4.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia. Any dispute arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent civil courts of Bogotá, D.C., Colombia.

4.7 Duration: This Purchase Order is valid for a period of ninety (90) days from the date of issue, unless extended in writing by both parties. Services not rendered within this period shall require a new Purchase Order or a formal amendment to this document.
