This Purchase Order is issued by the Kinshasa Community Health & Wellness Foundation (hereinafter referred to as “the Foundation”) to engage the services of a qualified and licensed Psychologist, Dr. Amara Mbuyi, to deliver comprehensive psychological assessment, counseling, and therapeutic intervention programs within the DR Congo Kinshasa metropolitan area. The Psychologist shall operate in accordance with the professional standards established by the Ordre des Psychologues de la République Démocratique du Congo and shall comply with all applicable regulations governing mental health practice in DR Congo Kinshasa.
The Psychologist is specifically engaged to provide the following services to the Foundation’s beneficiary population, which includes displaced persons, trauma-affected children, and community health workers operating in the communes of Gombe, Lemba, Kintambo, and Ngaliema in DR Congo Kinshasa:

3.1 Professional Qualification: The Psychologist warrants that they hold a valid professional license issued by the competent authority in DR Congo Kinshasa and that all services rendered under this Purchase Order shall be performed in full compliance with the ethical code of the Congolese psychological profession.
3.2 Confidentiality: The Psychologist shall maintain strict confidentiality of all client records and session notes in accordance with the data protection provisions of the DR Congo Kinshasa legal framework. No patient information shall be disclosed to third parties without written consent, except where required by law.
3.3 Service Location: All services under this Purchase Order shall be delivered at the Foundation’s designated sites within DR Congo Kinshasa, including but not limited to the Gombe Community Health Center, the Lemba Primary School Complex, and the Kintambo IDP Reception Site. The Psychologist shall bear the cost of local transportation within Kinshasa.
3.4 Payment Schedule: Payment shall be made in two (2) equal installments of $12,780.00 each. The first installment shall be due within thirty (30) calendar days of the commencement of services (01 July 2025). The second installment shall be due within thirty (30) calendar days of the completion of all services (31 December 2025). Payments shall be made via bank transfer to the account designated by the Psychologist, domiciled in DR Congo Kinshasa.
3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of early termination, the Psychologist shall be compensated for all services rendered up to the date of termination, as documented in the monthly progress reports.
3.6 Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court in Kinshasa, DR Congo.
NOTE: This Purchase Order is subject to the availability of funds from the Foundation’s 2025 mental health program grant. The Psychologist acknowledges that service delivery in DR Congo Kinshasa may be affected by seasonal flooding, public health emergencies, or civil disturbances, and both parties agree to a reasonable force majeure clause under such circumstances.By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the provision of Psychologist services in DR Congo Kinshasa as described herein. This document shall be executed in two (2) original copies, one for each party.
