This Purchase Order is issued by Charlottenburg Corporate Health GmbH (hereinafter referred to as the "Buyer") to engage the services of Dr. med. psych. Anna Kessler, a licensed Psychologist registered with the Kammer für Psychologische Psychotherapeuten Berlin-Brandenburg (hereinafter referred to as the "Psychologist" or "Supplier"), to provide professional psychological assessment, counselling, and therapeutic services to the Buyer's employees at the Buyer's offices located in Berlin, Germany. The Psychologist shall deliver all services in accordance with the professional standards set forth by the Bundespsychotherapeutenkammer (Federal Association of Psychotherapists) and the applicable regulations of the Psychotherapeutengesetz (PsychThG) as currently in force in the Federal Republic of Germany.

3.1 Professional Qualification. The Psychologist warrants that she holds a valid licence to practise as a Psychologist in the state of Berlin, Germany, and is a registered member in good standing of the Kammer für Psychologische Psychotherapeuten Berlin-Brandenburg. The Psychologist shall maintain all necessary professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 1,000,000 per claim throughout the duration of this Purchase Order.
3.2 Confidentiality and Data Protection. All psychological records, session notes, diagnostic reports, and personal data of the Buyer's employees shall be handled in strict accordance with the General Data Protection Regulation (GDPR / EU-DSGVO) and the Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG). The Psychologist shall not disclose any client information to the Buyer beyond the scope of the quarterly progress reports specified in Item 05, and only with the prior written consent of the affected employee.
3.3 Place of Performance. All services under this Purchase Order shall be performed within the city of Berlin, Germany. The primary service location shall be the Psychologist's practice at Kastanienallee 17, 10435 Berlin. On-site services at the Buyer's premises in Berlin-Mitte shall be arranged by mutual agreement no fewer than five (5) business days in advance.
3.4 Payment. Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer (SEPA-Überweisung) to the account designated by the Psychologist within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (Bürgerliches Gesetzbuch, BGB).
3.5 Cancellation and Termination. Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination. The Buyer reserves the right to terminate immediately without notice in cases of gross professional misconduct, loss of licence, or material breach of the data protection obligations outlined in Section 3.2.
3.6 Dispute Resolution. Any disputes arising from or in connection with this Purchase Order shall be resolved amicably. Failing amicable resolution within thirty (30) days, the competent courts of Berlin, Germany shall have exclusive jurisdiction. The applicable law shall be the law of the Federal Republic of Germany.
3.7 Force Majeure. Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the city of Berlin, Germany.
This Purchase Order constitutes a binding procurement commitment by the Buyer for the psychological services described herein. The Psychologist's acceptance of this Purchase Order shall be confirmed in writing (email or signed copy) within ten (10) business days of the PO date. Failure to confirm within this period shall be deemed a declination of this Purchase Order.
