- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- The Psychologist shall maintain full professional confidentiality in accordance with the German Federal Data Protection Act (BDSG) and the General Data Protection Regulation (GDPR). No employee data shall be disclosed to the purchasing entity without explicit written consent of the individual.
- All services described in this Purchase Order must be performed by the named Psychologist or, in the event of documented unavailability, by a qualified substitute Psychologist approved in writing by Frankfurt Corporate Wellness GmbH.
- Payment terms: Net 30 days from the date of invoice. Invoices shall be submitted monthly and must reference this Purchase Order number (PO-FRA-2025-04871). Payment shall be made via SEPA bank transfer to the account specified by the Psychologist.
- The Psychologist is required to provide a written progress summary to the HR department at the end of each calendar quarter, summarizing the number of sessions conducted, general trends, and any recommended adjustments to the program.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Psychologist shall be compensated for all services rendered up to the termination date.
- All sessions and workshops shall take place within the city of Germany Frankfurt unless otherwise agreed in writing. Travel expenses beyond the city limits of Frankfurt am Main shall be billed separately at cost.
- The Psychologist warrants that all services are delivered in full compliance with the German Psychotherapy Act (PsychThG), the professional guidelines of the BDP, and all applicable Hessian state regulations regarding the practice of psychology.
- This Purchase Order does not constitute an employment relationship. The Psychologist acts as an independent professional service provider.
