Description of Services – Psychologist Engagement in Munich, GermanyThis Purchase Order is issued by München Psychologische Dienste GmbH (hereinafter referred to as "the Purchaser") to Dr. Katharina Weber, a duly licensed Psychologist registered with the Bavarian State Chamber of Psychologists, for the provision of professional psychological services to be delivered at the Purchaser's corporate headquarters located in Munich, Germany. - Scope of Engagement: The Psychologist, Dr. Katharina Weber, shall perform all services described in this Purchase Order in a professional, ethical, and confidential manner in accordance with the German Psychologist Act (Psychologengesetz) and the professional code of conduct of the Bavarian State Chamber of Psychologists. All services shall be rendered at the Purchaser's premises in Munich, Germany, unless otherwise agreed in writing.
- Confidentiality and Data Protection: The Psychologist shall handle all employee data in strict compliance with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG). No patient records or psychological assessments shall be disclosed to any third party without the explicit written consent of the individual employee, except where required by German law.
- Professional Qualifications: The Psychologist warrants that she holds a valid license to practice psychology in the Free State of Bavaria, Germany, and maintains all necessary professional liability insurance coverage (Berufshaftpflichtversicherung) with a minimum coverage of €5,000,000 per claim.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via bank transfer to the account specified by the Psychologist. Late payments shall incur interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Psychologist shall provide a transition plan to ensure continuity of care for employees currently in active therapy in Munich, Germany.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Munich, Germany.
- Compliance: The Psychologist shall comply with all applicable German and European labor laws, anti-discrimination regulations, and professional ethical standards. The Psychologist shall not engage in any dual relationships with employees of the Purchaser outside the scope of this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of a licensed Psychologist to provide psychological services in Munich, Germany. This document constitutes a binding commercial agreement between the Purchaser and the Psychologist effective from the date of the last signature.
