This Purchase Order is issued by Mumbai Corporate Wellness Solutions Pvt. Ltd. to engage the services of a qualified and registered Psychologist to provide comprehensive mental health and psychological wellness services to employees across our corporate offices located in India Mumbai. The Psychologist shall deliver the following scope of professional services as outlined below:

- This Purchase Order is valid for acceptance within seven (7) calendar days from the date of issue. The Psychologist must confirm acceptance in writing via email to the procurement department of Mumbai Corporate Wellness Solutions Pvt. Ltd.
- The Psychologist engaged under this Purchase Order must hold a valid registration with the Rehabilitation Council of India (RCI) and a Master's or Doctoral degree in Clinical Psychology, Counselling Psychology, or a related discipline from a recognized university in India.
- All services shall be rendered at the designated corporate offices located in India Mumbai, including but not limited to Bandra-Kurla Complex (BKC), Andheri East, and Navi Mumbai (Vashi) locations. The Psychologist shall bear all travel and transportation costs between these sites.
- Strict confidentiality and professional ethics as per the Indian Psychologists Act and RCI Code of Ethics shall be maintained. No employee data, session notes, or psychological assessments shall be disclosed to any third party without written consent of the individual, except where mandated by law.
- The Psychologist shall submit a detailed monthly report to the HR and Wellness Department by the 5th of the following month, summarizing sessions conducted, general trends (anonymized), and recommendations for organizational wellness improvement.
- Payment shall be processed within fifteen (15) working days of receipt of a valid GST-compliant invoice. Late payments shall attract interest at 12% per annum as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, if applicable.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination.
- The Psychologist shall maintain professional indemnity insurance with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) for the duration of this engagement.
- All disputes arising from this Purchase Order shall be subject to the jurisdiction of the competent courts in India Mumbai, Maharashtra, India.
- The Psychologist shall comply with all applicable data protection regulations, including the Digital Personal Data Protection Act, 2023, when handling employee psychological records.
