The engagement is structured to support employee well-being, stress management, and organisational psychological health in compliance with the Mental Healthcare Act, 2017, and all applicable regulations of the Government of India.

- This Purchase Order constitutes a binding agreement between Meridian Corporate Wellness Solutions Pvt. Ltd. (hereinafter "the Buyer") and the named Psychologist (hereinafter "the Service Provider") for the delivery of psychological and mental health services in India New Delhi.
- The Psychologist shall maintain full professional confidentiality in accordance with the Indian Medical Council (Professional Conduct) Regulations and the Mental Healthcare Act, 2017. No employee records, session notes, or assessment data shall be disclosed to any third party without written consent.
- All services under this Purchase Order shall be rendered at the Buyer's premises in India New Delhi unless otherwise agreed in writing. The Psychologist is responsible for all travel, equipment, and materials required to deliver the services.
- Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Psychologist. Payment shall be processed via NEFT/RTGS to the bank account specified on the invoice. Late payments shall attract interest at 12% per annum as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006.
- The Psychologist shall provide a minimum of forty-eight (48) hours' written notice for any cancellation or rescheduling of sessions. Cancellations made by the Buyer shall not be charged; cancellations by the Psychologist without valid reason shall be non-billable.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
- The Psychologist warrants that all services shall be delivered in a professional, ethical, and culturally sensitive manner appropriate to the diverse workforce in India New Delhi. The Psychologist shall maintain valid professional liability insurance with a minimum cover of INR 50,00,000.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India. The jurisdiction of courts in New Delhi shall be exclusive.
- The Psychologist shall comply with all data protection requirements under the Digital Personal Data Protection Act, 2023, and shall not store or transmit employee psychological data outside the territory of India.
- This Purchase Order is governed by the laws of India. All communications related to this order shall be in English or Hindi.
By signing below, both parties acknowledge and accept the terms, conditions, scope of work, and financial obligations outlined in this Purchase Order for the engagement of the Psychologist in India New Delhi.
