4.1 Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the account designated by the Psychologist. The first installment (33%) is due upon acceptance of this Purchase Order. The second installment (33%) is due at the midpoint of the six-month engagement period. The final installment (34%) is due upon completion of all deliverables and submission of the final EAP framework document. All payments are subject to the standard 30-day net payment cycle from the date of invoice receipt.
4.2 Confidentiality and Data Protection: The Psychologist shall adhere strictly to the Indonesian Personal Data Protection Law (UU No. 27 Tahun 2022) and all applicable regulations governing the handling of sensitive psychological and medical records. All client data collected during the engagement in Indonesia Jakarta shall be stored on encrypted servers located within the Republic of Indonesia and shall not be transferred to any third party without the explicit written consent of the employee and the buyer.
4.3 Professional Standards: The Psychologist shall conduct all services in accordance with the Code of Ethics of HIMPSI and the standards set forth by the Indonesian Ministry of Health. Any breach of professional conduct shall constitute grounds for immediate termination of this Purchase Order without penalty to the buyer.
4.4 Location and Logistics: All on-site services shall be conducted at the buyer's premises in Indonesia Jakarta or at mutually agreed alternative locations within the Indonesia Jakarta metropolitan area. Travel and transportation costs within Indonesia Jakarta are included in the unit rates specified in Section 3. 4.5 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall be liable only for services rendered up to the date of termination. The Psychologist shall ensure a smooth transition of all ongoing client cases to a successor professional of the buyer's choosing.
4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta in accordance with the rules of the Indonesian National Board of Arbitration (BANI).
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Psychologist for the services described herein, to be delivered in Indonesia Jakarta for the duration specified. This Purchase Order supersedes all prior negotiations, correspondence, and understandings between the parties regarding the subject matter.
