- Scope of Engagement: The Psychologist engaged under this Purchase Order shall provide all psychological services exclusively within the boundaries of Iraq Baghdad. The Psychologist holds a valid clinical psychology license issued by the Iraqi Ministry of Health and is registered with the Iraqi Psychologists Association. Any sub-delegation of services to another Psychologist requires prior written approval from the Buyer.
- Service Period: The services described in this Purchase Order shall commence on 1 July 2025 and conclude on 30 June 2026, unless extended by mutual written agreement between the parties. All sessions and workshops shall be conducted at the Buyer's designated facilities in Iraq Baghdad or at the Psychologist's registered clinic in Al-Jadriya, Iraq Baghdad.
- Payment Terms: Payment shall be made in three equal installments of IQD 11,466,667 (approximately USD 8,686.87) each, due at the commencement of the service period, at the midpoint (January 2026), and upon completion of the final deliverables. Payment shall be processed via bank transfer to the Psychologist's designated account at the Central Bank of Iraq, Baghdad branch. A 1.5% monthly late payment penalty shall apply to overdue amounts.
- Confidentiality and Data Protection: The Psychologist shall maintain strict confidentiality regarding all client records, session notes, and diagnostic information in accordance with Iraqi medical confidentiality laws and the professional ethical code of the Iraqi Psychologists Association. No employee data collected during services in Iraq Baghdad shall be disclosed to any third party without the explicit written consent of the individual concerned.
- Professional Standards: The Psychologist shall adhere to all clinical guidelines, ethical standards, and regulatory requirements applicable to the practice of psychology in Iraq Baghdad. The Psychologist shall maintain adequate professional liability insurance with a minimum coverage of IQD 50,000,000 for the duration of this Purchase Order.
- Performance and Reporting: The Psychologist shall submit a monthly progress report to the Buyer's Procurement Director detailing the number of sessions conducted, workshops delivered, and any notable findings relevant to organizational wellness in Iraq Baghdad. A final comprehensive report shall be delivered within 15 business days of the service period's conclusion.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Psychologist shall ensure a smooth transition of any ongoing client cases to another qualified Psychologist in Iraq Baghdad at no additional cost to the Buyer.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through mediation in Iraq Baghdad, and failing mediation, shall be submitted to the competent courts of Baghdad, Iraq.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or public health emergencies affecting Iraq Baghdad.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both parties. All amendments shall reference this Purchase Order number (PO-IRQ-BGD-2025-04782) and the original date of issue.
