2. Service Delivery Location: All in-person sessions, workshops, and assessments referenced in this Purchase Order shall take place at the designated Japan Kyoto facilities listed in Appendix A, or at the Psychologist's registered practice location in Japan Kyoto as mutually agreed upon in writing.
3. Confidentiality & Data Protection: The Psychologist shall adhere to all provisions of the Japanese Act on the Protection of Personal Information (APPI) and maintain strict confidentiality regarding all client records generated under this Purchase Order. No psychological data shall be disclosed to third parties without explicit written consent from the client and approval from the purchasing entity.
4. Payment Terms: Payment for services rendered under this Purchase Order shall be made in monthly installments of JPY 166,667, due within 30 days of the end of each calendar month. The final installment shall be due within 15 days of completion of all services outlined in this Purchase Order.
5. Termination Clause: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Psychologist shall provide a comprehensive summary of all psychological services rendered to date, and the purchasing entity shall compensate for all sessions completed prior to the termination date.
6. Professional Liability: The Psychologist shall maintain professional liability insurance with a minimum coverage of JPY 50,000,000 for the duration of this Purchase Order. Proof of insurance shall be provided to the purchasing entity prior to the commencement of services in Japan Kyoto.
7. Regulatory Compliance: The Psychologist warrants that they hold a valid license to practice psychology in Japan Kyoto and that all services delivered under this Purchase Order comply with the standards set forth by the Japanese Association of Applied Psychology and the Ministry of Health, Labour and Welfare of Japan.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Japan Kyoto before proceeding to formal arbitration under the rules of the Japan Commercial Arbitration Association.
