- Delivery and Performance: All Psychologist services shall be rendered within the Nairobi metropolitan area, Kenya, at the designated Nairobi Metropolitan Health & Wellness Authority facilities or as otherwise agreed in writing. The Psychologist shall commence services no later than 1 July 2025.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Psychologist. All payments shall be processed in Kenyan Shillings (KES) via bank transfer to the account specified in Section 2. The Psychologist shall provide a valid Tax Invoice bearing the Kenya Revenue Authority (KRA) PIN for each billing cycle.
- Professional Compliance: The Psychologist shall maintain valid registration with the Kenya Psychological Practitioners Board (KPPB) throughout the duration of this Purchase Order. Any lapse in professional licensure shall constitute grounds for immediate termination of this order.
- Confidentiality: The Psychologist shall adhere strictly to the Kenya Data Protection Act, 2019, and all client records generated in Nairobi shall be stored in compliance with national data protection regulations. No client information shall be disclosed to third parties without written consent.
- Quality Assurance: The Psychologist shall submit monthly progress reports to the Nairobi Metropolitan Health & Wellness Authority detailing sessions conducted, outcomes, and any clinical concerns. Quarterly performance reviews shall be conducted by the Authority's Clinical Oversight Committee in Nairobi.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Authority may terminate immediately in the event of professional misconduct, breach of confidentiality, or failure to meet the standards of the Kenya Psychological Practitioners Board.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 of Kenya.
- Insurance: The Psychologist shall maintain valid professional indemnity insurance with a minimum cover of KES 5,000,000, valid throughout the term of this Purchase Order, and shall provide a certificate of insurance upon request.
This Purchase Order constitutes a formal procurement instrument issued by the Nairobi Metropolitan Health & Wellness Authority for the engagement of a qualified Psychologist to deliver mental health services in Kenya Nairobi. By signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and financial obligations outlined in this document.
