- Scope of Practice: The Psychologist shall perform all services in strict accordance with the ethical code of the Colegio de Psicólogos de México and the applicable regulations of the state of Mexico City. All clinical interventions must be conducted within the professional competence of the Psychologist and in compliance with Mexican federal and local health regulations.
- Service Location: All services under this Purchase Order shall be rendered at the Buyer's offices located in Mexico City, Mexico, or at the Psychologist's registered practice address in Mexico City, as mutually agreed upon in writing for each session or workshop.
- Payment Terms: Payment shall be made in two (2) equal installments of $345,390.00 MXN each. The first installment is due within fifteen (15) business days of the date of this Purchase Order. The second installment is due upon completion of all services and delivery of final reports. Payment shall be made via bank transfer to the account specified by the Psychologist.
- Confidentiality: The Psychologist shall maintain absolute confidentiality of all client information in accordance with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares (LFPDPPP) and the professional ethical standards governing psychological practice in Mexico City, Mexico. No patient records or session notes shall be disclosed to the Buyer beyond aggregate, anonymized progress reports.
- Professional Liability: The Psychologist shall maintain active professional liability insurance with a minimum coverage of $5,000,000 MXN throughout the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall compensate the Psychologist for all services rendered up to the date of termination, plus any non-cancellable commitments already made.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of Mexico City, Mexico. Any disputes arising from this agreement shall be resolved through the competent courts of Mexico City or, at the mutual discretion of the parties, through arbitration administered by the Centro de Arbitraje y Conciliación de la CDMX.
- Compliance: The Psychologist warrants that he holds a valid Cédula Profesional issued by the Secretaría de Educación Pública and an active registration with the Colegio de Psicólogos de México. The Psychologist further warrants that all services will be delivered in a professional, ethical, and culturally sensitive manner appropriate to the diverse workforce in Mexico City, Mexico.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Mexico City, Mexico.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Psychologist to deliver professional mental health services in Mexico, Mexico City. This document constitutes a binding agreement between the parties as of the date of the last signature.
