- Scope of Engagement: This Purchase Order authorizes the engagement of the named Psychologist, Dr. Karim Benjelloun, to deliver all psychological services as itemized above. The Psychologist shall maintain full professional licensure with the Ordre des Psychologues du Maroc throughout the duration of this Purchase Order.
- Service Location: All services shall be rendered primarily at the Atlas Wellness & Corporate Health Group facility located in Morocco Casablanca, 20410. Where the Psychologist's private clinic in Morocco Casablanca is designated as the service venue (Item 06), the Psychologist shall ensure the facility meets all applicable Moroccan health and safety standards.
- Service Period: This Purchase Order is valid for a period of twelve (12) months commencing July 1, 2025, and expiring June 30, 2026, unless renewed in writing by both parties.
- Payment Terms: Payment shall be made in monthly installments via bank transfer to the Psychologist's designated account within fifteen (15) business days of receipt of the monthly invoice. The total Purchase Order value of 388,800.00 MAD (inclusive of 20% VAT) shall be disbursed pro-rata over the twelve-month service period.
- Confidentiality: The Psychologist shall adhere strictly to the Moroccan Code of Professional Ethics for Psychologists and all applicable data protection regulations. No client information shall be disclosed to the purchasing entity beyond the scope of the monthly progress reports specified in Item 05. All records shall be stored in compliance with Moroccan law.
- Performance Standards: The Psychologist shall maintain a minimum session attendance rate of 95% and shall provide written notice no fewer than forty-eight (48) hours in advance for any rescheduling of individual sessions or group workshops.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, including the Moroccan Commercial Code and the applicable provisions of the Moroccan Labor Code regarding occupational health and psychological well-being.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent commercial court in Morocco Casablanca.
- Insurance: The Psychologist shall maintain professional liability insurance with a minimum coverage of 2,000,000 MAD, valid throughout the term of this Purchase Order, and shall provide a certificate of insurance upon request.
