- This Purchase Order is issued by Yangon Wellness & Corporate Services Ltd. (hereinafter "the Buyer") to engage the services of a qualified Psychologist (hereinafter "the Provider") for the delivery of mental health and psychological support services at the Buyer's premises located in Myanmar Yangon.
- The Psychologist shall hold a valid and current professional license issued by the Myanmar Psychologists Association and shall maintain all necessary malpractice insurance coverage throughout the duration of this Purchase Order.
- All services rendered under this Purchase Order shall be conducted in accordance with the ethical guidelines established by the Myanmar Psychologists Association and applicable laws of the Republic of the Union of Myanmar.
- Confidentiality: The Psychologist shall maintain strict confidentiality of all client records, session notes, and assessment data. No individual employee information shall be disclosed to the Buyer or any third party without written consent, except where required by Myanmar law.
- Payment shall be made via bank transfer to the Provider's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur an interest charge of 1.5% per month as stipulated under Myanmar commercial practice.
- The Buyer reserves the right to request a replacement Psychologist of equivalent qualifications should the Provider be unable to fulfill obligations under this Purchase Order for a period exceeding ten (10) consecutive business days.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- All disputes arising from this Purchase Order shall be resolved through mediation in Myanmar Yangon before resorting to litigation in the competent courts of Yangon District.
- The Provider shall comply with all data protection and privacy regulations applicable in Myanmar, including the handling of sensitive psychological records stored at the Myanmar Yangon office.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Psychologist services and supersedes all prior negotiations, representations, or agreements.
