Description of Services — Psychologist EngagementThis Purchase Order is issued by Andina Corporate Wellness S.A.C., a corporate entity registered in Peru Lima, to formally engage the services of a licensed Psychologist for the provision of professional psychological support, employee wellness programs, and mental health consultations within the company's offices located in the San Isidro district of Peru Lima. - Professional Qualification: The Psychologist engaged under this Purchase Order must hold a valid professional license issued by the Colegio de Psicólogos del Perú and must maintain continuous professional development as required by Peruvian regulatory standards. The Psychologist shall provide a copy of their active CIP registration upon execution of this order.
- Service Location: All services shall be rendered at the company's primary office located in Peru Lima, specifically at Av. Javier Prado Este 1250, San Isidro. The Psychologist may also conduct remote sessions via secure video conferencing when pre-approved by the Purchasing Entity.
- Confidentiality and Data Protection: The Psychologist shall adhere strictly to the Peruvian Personal Data Protection Law (Ley Nº 29733) and the ethical confidentiality standards of the Colegio de Psicólogos del Perú. All patient records, session notes, and psychological assessments shall be stored securely and shall not be disclosed to any third party without written consent, except as mandated by Peruvian law.
- Payment Schedule: Payment for services rendered under this Purchase Order shall be made via bank transfer to the Psychologist's designated account in Peru Lima within thirty (30) calendar days from the date of receipt of a valid invoice (factura) issued in compliance with SUNAFIL and SUNAT regulations.
- Performance Standards: The Psychologist is expected to maintain a minimum attendance rate of 95% for all scheduled sessions and workshops. Failure to meet this standard for two consecutive months shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
- Termination: Either party may terminate this Purchase Order with a minimum of sixty (60) days' written notice. In the event of termination, the Psychologist shall provide a transition plan and handover of all non-confidential administrative records to the Purchasing Entity.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Peru Lima in accordance with the Peruvian Civil Code. If mediation fails, the parties agree to submit the matter to the competent commercial courts of the Lima Judicial District.
- Insurance: The Psychologist shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of S/ 100,000.00, valid throughout the term of this Purchase Order.
- Compliance with Peruvian Labor Law: The engagement of the Psychologist under this Purchase Order does not create an employment relationship. The Psychologist operates as an independent professional service provider. All services are governed by the terms of this Purchase Order and applicable Peruvian commercial law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as declared by the Peruvian Ministry of Health.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the provision of professional Psychologist services in Peru Lima. The Psychologist confirms acceptance of all terms, conditions, and scope of work outlined herein. This document is executed in two (2) original copies, one for each party, in Peru Lima, Peru.
