2. Scope of Services & Line ItemsThis Purchase Order authorizes the engagement of a licensed Psychologist to deliver a comprehensive corporate mental health program for Al-Nour Corporate Wellness Group employees based in Jeddah, Saudi Arabia. The Psychologist shall provide all services in accordance with the regulations set forth by the Saudi Ministry of Health and the Saudi Council of Health Specialties.

- Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issue. The Psychologist must confirm acceptance in writing within ten (10) business days to proceed with service delivery in Jeddah, Saudi Arabia.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Payment will be processed via bank transfer to the Psychologist's registered account in Saudi Arabia. All amounts are denominated in Saudi Riyal (SAR) and are subject to the 15% Value Added Tax (VAT) as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia.
- Licensing and Compliance: The Psychologist warrants that all services rendered under this Purchase Order shall comply with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the provisions of the Saudi Ministry of Health, the Saudi Council of Health Specialties, and the Data Protection regulations applicable in Jeddah. The Psychologist must maintain a valid professional license throughout the duration of this engagement.
- Confidentiality: All psychological records, session notes, and assessment data collected in Saudi Arabia Jeddah shall be treated as strictly confidential. The Psychologist shall not disclose any client information to third parties without written consent, in accordance with Saudi data privacy standards.
- Service Delivery: All on-site services shall be conducted at the buyer's premises located in Al Shati District, Jeddah, Saudi Arabia, or at the Psychologist's registered practice in Al Zahra, Jeddah, as mutually agreed upon in writing.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution, disputes shall be submitted to the competent courts in Jeddah, Kingdom of Saudi Arabia, in accordance with Saudi commercial law.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to government-mandated closures in Saudi Arabia or public health emergencies.
