- Scope of Engagement: This Purchase Order authorizes the engagement of the named Psychologist, Dr. Sarah Al-Mutairi, to deliver the clinical and therapeutic services as itemized above. All services shall be rendered in accordance with the professional standards set by the Saudi Commission for Health Specialties (SCFHS) and the Ministry of Health, Saudi Arabia. The Psychologist must maintain a valid professional license throughout the duration of this Purchase Order.
- Location of Services: All in-person sessions, assessments, workshops, and meetings referenced in this Purchase Order shall take place at the Al-Nur Mental Health & Wellness Center premises located in Riyadh, Saudi Arabia, unless otherwise agreed in writing by both parties. The Psychologist is expected to be physically present in Riyadh for a minimum of five (5) working days per week during the contract period.
- Payment Schedule: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid tax invoice from the Psychologist. Invoices must include the vendor's VAT registration number and be issued in accordance with the ZATCA (Zakat, Tax and Customs Authority) e-invoicing requirements applicable in Saudi Arabia. Payment shall be processed via bank transfer to the IBAN specified in the vendor details above.
- Confidentiality and Data Protection: The Psychologist shall adhere strictly to the confidentiality obligations outlined in the Saudi Personal Data Protection Law (PDPL) and the professional ethical code of the Saudi Psychologists Association. All client records, session notes, and assessment data generated during the term of this Purchase Order shall remain the property of Al-Nur Mental Health & Wellness Center and shall not be disclosed to any third party without written consent.
- Compliance with Saudi Regulations: The Psychologist warrants that all services delivered under this Purchase Order comply with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Mental Health Law, the SCFHS practice guidelines, and any applicable municipal regulations in Riyadh. The Psychologist shall bear full responsibility for maintaining all required professional certifications and continuing education credits.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination. Al-Nur Center reserves the right to terminate this Purchase Order immediately in the event of professional misconduct, loss of license, or material breach of the terms herein.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent courts in Riyadh, Saudi Arabia, in accordance with the laws of the Kingdom of Saudi Arabia.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or public health emergencies as declared by the authorities in Saudi Arabia.
• This Purchase Order is valid for a period of six (6) months from the start date (01 July 2025 to 31 December 2025).
• The Psychologist must submit a monthly activity report to the Director of Clinical Operations by the 5th of each month.
• All invoices must be submitted in Arabic and English, in compliance with Saudi commercial documentation standards.
• This Purchase Order does not constitute an employment contract. The Psychologist is engaged as an independent professional service provider.
• Any amendments to this Purchase Order must be documented in a written addendum signed by both parties.
