This Purchase Order is issued by Meridian Corporate Wellness Pte. Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified Psychologist, Dr. Amelia Tan, operating under Singapore Singapore Psychological Consultancy LLP (hereinafter referred to as the "Vendor"), for the provision of professional psychological assessment, counselling, and corporate wellness services within the jurisdiction of Singapore Singapore. The Psychologist shall deliver all services in accordance with the professional standards set forth by the Singapore Board of Psychologists and shall comply with all applicable regulations governing the practice of psychology in Singapore Singapore.

4.1 This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore.

4.2 The Psychologist engaged under this Purchase Order must hold a valid registration with the Singapore Board of Psychologists and must maintain professional indemnity insurance with a minimum coverage of SGD 1,000,000 per claim throughout the duration of this engagement.

4.3 All services rendered by the Psychologist shall be conducted in a professional, ethical, and confidential manner in strict compliance with the Code of Ethics for Psychologists as published by the Singapore Board of Psychologists and all relevant statutory requirements in Singapore Singapore.

4.4 The Vendor shall submit all invoices within five (5) business days of the completion of each service milestone. Payment shall be made within thirty (30) days from the date of invoice receipt, in accordance with the payment terms stated in this Purchase Order.

4.5 The Buyer reserves the right to audit the Psychologist's service delivery records, attendance logs, and client feedback forms upon thirty (30) days' written notice, subject to the maintenance of client confidentiality as mandated by Singapore Singapore data protection laws.

4.6 This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless terminated earlier by either party with sixty (60) days' written notice. Early termination shall not affect any obligations accrued prior to the effective date of termination.

4.7 The Psychologist shall not disclose any information pertaining to the Buyer's employees, corporate data, or organisational matters to any third party without prior written consent, in accordance with the confidentiality obligations stipulated under Singapore Singapore law.

The Psychologist shall commence services no later than 1 July 2025. All group workshops shall be scheduled in consultation with the Buyer's Human Resources Department. Individual counselling sessions shall be conducted at the Vendor's premises located in Singapore Singapore or at the Buyer's office at 12 Marina Boulevard, Singapore Singapore, as mutually agreed upon in writing. All written reports and assessments shall be delivered in both hard copy and encrypted electronic format within ten (10) business days of the relevant assessment date.

This Purchase Order is issued and authorised by the undersigned on behalf of Meridian Corporate Wellness Pte. Ltd., Singapore Singapore. The Vendor acknowledges receipt of this Purchase Order and agrees to the terms, conditions, and scope of services as outlined herein.
