- This Purchase Order constitutes a binding agreement between Wellness & Corporate Health Solutions (Pty) Ltd and the named Psychologist for the provision of psychological services in Cape Town, South Africa, for the period specified herein.
- The Psychologist shall maintain valid HPCSA registration and professional indemnity insurance (minimum cover of R5,000,000) throughout the duration of this Purchase Order. Proof of such insurance shall be submitted prior to the commencement of services.
- All services shall be rendered in compliance with the Mental Health Care Act 17 of 2002, the Protection of Personal Information Act (POPIA) 4 of 2013, and the Labour Relations Act 66 of 1995 as applicable in South Africa.
- Confidentiality: The Psychologist shall adhere to strict confidentiality protocols. No employee records, session notes, or psychometric data shall be disclosed to any third party without written consent, except where required by South African law.
- Invoicing: The Psychologist shall submit itemised invoices on a monthly basis by the 5th of each month. Payment shall be made within 30 days of receipt of a valid tax invoice in accordance with South African VAT regulations.
- Cancellation: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Psychologist shall be compensated for services rendered up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Cape Town, South Africa, in accordance with the rules of the South African Dispute Resolution Centre. Should mediation fail, the matter shall be referred to the High Court of South Africa, Western Cape Division, Cape Town.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or pandemics affecting operations in Cape Town, South Africa.
- The Psychologist shall submit a final comprehensive report upon completion of all services, including aggregate (anonymised) outcomes data, recommendations for the following year, and a handover summary for the HR Department.
- This Purchase Order is governed by the laws of the Republic of South Africa. All communications relating to this Purchase Order shall be conducted in English.
