- Professional Qualification: The Psychologist, Dr. Marta Solé i Ferrer, confirms that she holds a valid registration with the Colègi Oficial de Psicologia de Catalunya (COPC) and complies with all professional requirements set forth by the Generalitat de Catalunya. She shall maintain her professional liability insurance (seguro de responsabilidad civil profesional) throughout the duration of this Purchase Order.
- Scope of Practice: All psychological services shall be rendered in accordance with the Spanish Law 41/2002 on Patient Rights (Ley 41/2002, de 14 de noviembre, básica de autonomía del paciente y de derechos y obligaciones en materia de asistencia sanitaria) and the applicable professional code of ethics of the COPC. The Psychologist shall not provide psychiatric medication or prescribe pharmacological treatments.
- Confidentiality and Data Protection: The Psychologist shall handle all client data in strict compliance with the Spanish Organic Law 3/2018 on Personal Data Protection and Guarantee of Digital Rights (LOPDGDD) and the European General Data Protection Regulation (GDPR). All records shall be stored on servers located within the European Union, with primary data centers in Barcelona, Spain.
- Service Location: All in-person sessions, workshops, and assessments shall take place at the Psychologist’s registered office in Barcelona, Spain, or at the Buyer’s premises located in Barcelona, as mutually agreed upon in writing. Telehealth sessions shall be conducted via encrypted video platforms compliant with Spanish and EU data protection regulations.
- Payment Schedule: Invoices shall be issued monthly in arrears. Payment shall be made within thirty (30) calendar days of the invoice date via SEPA direct bank transfer to the account designated by the Psychologist. Late payments shall accrue interest at the rate established by the Spanish Law 3/2004 on Measures to Combat Late Payment in Commercial Transactions.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination. The Psychologist shall ensure a smooth transition of patient care to a successor professional if requested by the Buyer.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent courts of Barcelona, Spain, in accordance with the Spanish Civil Procedure Law (Ley de Enjuiciamiento Civil). Both parties agree to attempt mediation through the Colègi Oficial de Psicologia de Catalunya before initiating any judicial proceedings.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in Barcelona or the wider Catalonia region, as recognized under Spanish contract law.
- Compliance with Local Regulations: The Psychologist warrants that all services comply with the regulations of the Departament de Salut de la Generalitat de Catalunya and any applicable municipal ordinances of the Ajuntament de Barcelona regarding the provision of health and wellness services.
By signing below, both parties acknowledge and agree to the terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Psychologist in Barcelona, Spain. This document constitutes a binding agreement under Spanish commercial law.
