This Purchase Order is issued by Siam Wellness Corporate Services Co., Ltd. to formally request and authorize the procurement of professional psychological services provided by a licensed Psychologist operating within Thailand Bangkok. The engagement of the Psychologist is intended to support the mental health and well-being programs of our corporate employees based in the Thailand Bangkok metropolitan area. The Psychologist shall hold a valid license issued by the Thai Ministry of Public Health and shall be registered with the Thai Association of Clinical Psychology. All services rendered under this Purchase Order shall be conducted in accordance with the professional standards and ethical guidelines established for the practice of psychology in Thailand Bangkok.

All services specified in this Purchase Order shall be delivered and performed within the Thailand Bangkok metropolitan area, specifically at the purchaser's headquarters located at 88 Sukhumvit Road, Khlong Toei, Bangkok 10110, or at such other location within Thailand Bangkok as mutually agreed in writing. The Psychologist shall commence services no later than 1 July 2025 and shall continue to provide services on a continuous basis for a period of twelve (12) months, subject to the terms outlined in this Purchase Order. Individual counseling sessions shall be scheduled by mutual agreement between the employee and the Psychologist, with a minimum of two (2) business days' notice for booking. Group workshops and training sessions shall be conducted during standard business hours (09:00–17:00 ICT) at the Thailand Bangkok office premises.

• Payment shall be made in Thai Baht (THB) via bank transfer to the supplier's designated account in Thailand Bangkok.
• Payment terms: Net 30 days from the date of receipt of a valid tax invoice (Fap Kaw) issued by the supplier.
• Invoices shall be submitted monthly, summarizing all services rendered by the Psychologist during the preceding calendar month.
• A 15% advance payment of the total Purchase Order value (THB 217,798.50) shall be due upon acceptance of this Purchase Order.
• Any late payment shall incur interest at the rate of 1.5% per month, in accordance with Thai commercial law.
• All payments are subject to the purchaser's verification that services have been satisfactorily delivered by the Psychologist in compliance with the scope defined herein.

• Licensing and Qualification: The Psychologist engaged under this Purchase Order must maintain a valid professional license issued by the Thai Ministry of Public Health throughout the entire contract period. The supplier shall provide a copy of the license and professional registration certificate upon request.
• Confidentiality: All client information, session notes, and assessment results handled by the Psychologist shall be treated as strictly confidential in accordance with the Thai Personal Data Protection Act (PDPA) B.E. 2562 (2019) and the professional code of ethics of the Thai Association of Clinical Psychology. No data shall be stored outside of Thailand Bangkok without explicit written consent.

• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising herefrom shall be resolved through the courts of competent jurisdiction in Thailand Bangkok.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Thailand Bangkok.
• Quality Assurance: The purchaser reserves the right to conduct quarterly performance reviews of the Psychologist's services. Failure to meet agreed service-level standards for two consecutive quarters shall constitute grounds for termination without penalty.
