- Regulatory Compliance: The Psychologist shall hold a valid professional licence issued by the Department of Health – Abu Dhabi (DoH-AD) and shall maintain all required registrations in good standing throughout the duration of this Purchase Order. Any lapse in licensing shall constitute grounds for immediate termination of this Purchase Order.
- Confidentiality: All patient records, session notes, and psychological assessment data shall be handled in strict accordance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. The Psychologist shall not disclose any employee information to third parties without written consent, except where mandated by UAE law.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice submission. Invoices shall be submitted in United Arab Emirates Dirhams (AED) and shall include the applicable 5% Value Added Tax (VAT) as per the Federal Tax Authority regulations in Abu Dhabi, United Arab Emirates.
- Service Location: All services under this Purchase Order shall be rendered within the emirate of Abu Dhabi, United Arab Emirates, unless otherwise agreed in writing by both parties. The Psychologist shall ensure that all clinical facilities meet the standards set by the DoH-AD.
- Duration: This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless renewed or terminated in writing by either party with a minimum of thirty (30) days' prior notice.
- Termination: Either party may terminate this Purchase Order for material breach, provided that the breaching party is given fourteen (14) days to remedy the breach. Upon termination, all completed services shall be invoiced and paid in full.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates and the specific regulations of Abu Dhabi. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.
- Professional Liability: The Psychologist shall maintain professional indemnity insurance with a minimum coverage of AED 2,000,000, valid throughout the term of this Purchase Order. A certificate of insurance shall be provided upon request.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as declared by the Abu Dhabi government.
- Anti-Bribery: Both parties confirm that no part of the consideration under this Purchase Order constitutes a bribe, kickback, or improper payment, in compliance with UAE Federal Law No. 3 of 2016 on Anti-Money Laundering and Combating the Financing of Terrorism and Financing of Extremist Thought.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. The Psychologist confirms availability to deliver the services described herein in full compliance with the professional and ethical standards of the Abu Dhabi Department of Health and the UAE Code of Ethics for Psychologists.
