1. Purchase Order SummaryThis Purchase Order is issued by Meridian Corporate Wellness Group LLC (hereinafter referred to as the "Purchasing Entity") to engage the services of a qualified and licensed Psychologist, Dr. Layla Al Mansoori, operating under Al Mansoori Psychological Consultancy (hereinafter referred to as the "Service Provider"), for the provision of professional psychological assessment, counselling, and corporate mental-health support services. - Scope of Engagement: The Psychologist shall provide all services listed in Section 2 in full compliance with the standards set by the Dubai Health Authority (DHA) and the UAE Ministry of Health and Prevention. The Psychologist must maintain an active DHA professional licence throughout the duration of this Purchase Order.
- Service Location: Unless otherwise specified in the line items, all services shall be rendered at the Service Provider's registered office in Dubai Marina, United Arab Emirates Dubai, or at the Purchasing Entity's premises in Downtown Dubai, United Arab Emirates Dubai. Travel within the emirate of Dubai is included in the quoted prices.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Service Provider. Payment shall be processed via bank transfer to the account designated by the Psychologist's consultancy. Late payments shall accrue interest at a rate of 1.5% per month as permitted under UAE commercial law.
- Confidentiality and Data Protection: The Psychologist shall handle all employee psychological data in strict accordance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. No client records, assessment results, or case notes shall be disclosed to any third party without the written, informed consent of the employee, except where required by UAE law or a court order issued in United Arab Emirates Dubai.
- Professional Standards: The Psychologist shall adhere to the ethical code of conduct established by the UAE Psychologists Association and the DHA. Any breach of professional ethics shall constitute grounds for immediate termination of this Purchase Order without penalty to the Purchasing Entity.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Purchasing Entity shall be liable only for services already rendered and documented up to the effective date of termination.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to the competent courts of the Dubai Courts, United Arab Emirates Dubai, or to the Dubai International Financial Centre (DIFC) Courts if the parties so agree in writing.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the applicable laws and regulations of the emirate of Dubai.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or public-health emergencies declared in the United Arab Emirates Dubai.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Service Provider's standard terms of engagement, constitutes the entire agreement between the parties. No amendment shall be valid unless made in writing and signed by both parties.
