3. Scope of Services – Psychologist EngagementThis Purchase Order is issued by Birmingham Metropolitan Health & Wellbeing Services Ltd. to formally engage the services of a qualified Psychologist operating within the United Kingdom Birmingham metropolitan area. The Psychologist shall provide clinical, therapeutic, and advisory psychological services as outlined in the line items below. All services shall be delivered in accordance with the standards set by the Health and Care Professions Council (HCPC) and the British Psychological Society (BPS), and shall comply with all applicable legislation within the United Kingdom, including the Data Protection Act 2018 and the UK GDPR.

- Acceptance: This Purchase Order constitutes a formal offer to contract. The Psychologist (Dr. Eleanor Whitfield / Whitfield Psychological Practice Ltd.) shall confirm acceptance in writing within ten (10) working days of the date of issue. Failure to respond within this period shall render this Purchase Order void.
- Service Delivery Location: All in-person services shall be delivered at the Psychologist's registered practice premises located in United Kingdom Birmingham, or at such alternative venue within the Birmingham metropolitan area as mutually agreed in writing. Telehealth sessions shall be conducted via an encrypted, UK-based platform compliant with NHS Digital standards.
- Professional Qualifications: The Psychologist shall maintain, throughout the contract period, full registration with the Health and Care Professions Council (HCPC) and active membership of the British Psychological Society (BPS). Evidence of current registration shall be provided upon request and renewed annually.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice, by BACS transfer to the account details specified by the Psychologist. Late payments shall accrue interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Confidentiality and Data Protection: The Psychologist shall handle all client data in strict compliance with the UK GDPR and the Data Protection Act 2018. A Data Processing Agreement (DPA) shall be executed prior to the commencement of services. No client records shall be stored outside the United Kingdom.
- Insurance: The Psychologist shall maintain professional indemnity insurance with a minimum cover of £5,000,000 per claim and public liability insurance of £2,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Purchasing Entity upon request.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. The Purchasing Entity may terminate immediately for material breach, loss of HCPC registration, or insolvency of the Psychologist's practice. Upon termination, all outstanding invoices for services rendered shall be settled within the standard payment terms.
- Quality Assurance: The Psychologist shall submit quarterly performance reports to the Purchasing Entity, including session completion rates, client satisfaction scores, and any adverse incident reports. An annual review meeting shall be held in Birmingham to assess service quality and discuss any amendments to the scope of work.
- Governing Law: This Purchase Order and any disputes arising therefrom shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom, or, at the Purchasing Entity's option, resolved by arbitration under the rules of the London Court of International Arbitration (LCIA).
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to acts of God, pandemics, government-imposed restrictions, or civil unrest within the United Kingdom Birmingham area, provided that the affected party notifies the other within five (5) working days.
