- This Purchase Order constitutes a binding agreement between Manchester Metropolitan Health & Wellbeing Trust (hereinafter "the Trust") and the named Psychologist (hereinafter "the Supplier") for the provision of psychological services in United Kingdom Manchester and surrounding areas.
- The Psychologist shall maintain full professional indemnity insurance with a minimum cover of £5,000,000 throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- All services rendered under this Purchase Order must comply with the Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR). Patient and client records shall be stored in accordance with NHS Information Governance standards.
- The Psychologist shall adhere to the BPS Code of Ethics and Conduct and the HCPC Standards of Proficiency. Any breach of professional conduct may result in immediate termination of this Purchase Order without notice.
- Payment shall be made within 30 days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-MAN-04872) and include the Supplier's VAT registration number.
- The Trust reserves the right to adjust the volume of sessions listed in Section 4 by up to 15% without issuing a revised Purchase Order, provided written notice is given at least 14 days in advance.
- All services shall be delivered at the Trust's premises in Manchester, United Kingdom, unless otherwise agreed in writing. Travel expenses within the Manchester metropolitan area are included in the unit rates specified above.
- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
- The Psychologist shall submit a monthly activity report to the Trust's Procurement Department by the 5th business day of each month, detailing sessions completed, client outcomes, and any incidents or complaints.
- This Purchase Order is valid for a period of twelve (12) months from the Required Delivery Date, unless terminated earlier in accordance with the terms herein.
