- Scope of Engagement: This Purchase Order authorizes the Psychologist, Dr. Alejandro Vargas Mendoza, to render the professional psychological services as itemized above. All services shall be performed in accordance with the ethical code established by the Colegio de Psicólogos del Estado Miranda and the national regulations governing the practice of psychology in Venezuela.
- Place of Performance: Unless otherwise specified in the line items, all services under this Purchase Order shall be delivered at the buyer's premises located in Venezuela Caracas, Chacao. The Psychologist shall bear the cost of travel and transportation within the Venezuela Caracas metropolitan area.
- Payment Terms: Payment shall be made in U.S. Dollars (USD) via bank transfer to the account designated by the Psychologist. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in equal monthly installments over the duration of the ongoing services (Item 03). Invoices are payable within fifteen (15) calendar days of receipt.
- Confidentiality: The Psychologist shall maintain strict confidentiality regarding all client information, assessment results, and session notes in compliance with Venezuelan data protection law (Ley Orgánica de Protección de Datos Personales). No information pertaining to individual employees shall be disclosed to the buyer beyond aggregate summaries and progress reports, except where legally mandated.
- Professional Standards: The Psychologist warrants that all services will be rendered with the competence, diligence, and professional judgment expected of a licensed clinical psychologist in Venezuela Caracas. The Psychologist shall maintain current professional liability insurance with a minimum coverage of USD 250,000.
- Deliverables: All written reports, assessments, and recommendations produced under this Purchase Order shall be submitted in both Spanish and English. Digital copies shall be delivered via secure encrypted email within five (5) business days of session completion.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the buyer shall pay for all services rendered up to the date of termination. The Psychologist shall ensure a smooth transition of any ongoing cases to a successor professional of the buyer's choosing.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-mandated closures, or public health emergencies affecting Venezuela Caracas.
