- Service Location: All in-person services shall be delivered at the Psychologist's registered practice in District 3, Ho Chi Minh City, Vietnam, or at the Buyer's corporate premises in District 1, Ho Chi Minh City, as specified per line item. The Psychologist must hold a valid practice license issued by the Ho Chi Minh City Department of Health.
- Professional Standards: The Psychologist shall adhere to the ethical code of the Vietnam Psychological Association, maintain strict client confidentiality in compliance with Vietnam's Personal Data Protection Law (Decree 13/2023/NĐ-CP), and provide culturally sensitive care appropriate for the diverse workforce in Ho Chi Minh City.
- Payment Terms: Payment shall be made in two installments: 50% upon execution of this Purchase Order and 50% upon completion of all services. Payment will be transferred via bank wire to the Psychologist's registered business account. A VAT invoice (10%) shall accompany each payment.
- Service Period: The engagement period under this Purchase Order is six (6) months, commencing on 1 July 2025 and concluding on 31 December 2025, unless extended by mutual written agreement.
- Confidentiality: All psychological records, session notes, and assessment results are strictly confidential. The Psychologist shall not disclose any client information to third parties without written consent, except where mandated by Vietnamese law.
- Cancellation & Refund: Either party may cancel this Purchase Order with thirty (30) days' written notice. In the event of cancellation by the Buyer, a pro-rata refund for unused sessions will be issued within fifteen (15) business days.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code and the Law on Commercial Enterprises. Any disputes shall be resolved through the People's Court of Ho Chi Minh City.
- Insurance: The Psychologist shall maintain professional liability insurance with a minimum coverage of VND 500,000,000, valid throughout the service period in Ho Chi Minh City.
This Purchase Order is issued and authorized by the undersigned representatives of Saigon Wellness & Corporate Health Solutions Co., Ltd. The engagement of the Psychologist named herein is approved for the delivery of mental health services to employees operating within Ho Chi Minh City, Vietnam. All terms stated in this document are binding upon signature.
