This Purchase Order is issued by Centro Médico Diagnóstico Córdoba S.A. (hereinafter referred to as the "Purchasing Entity") to formally request and authorize the engagement of a qualified Radiologist to provide diagnostic imaging interpretation services within the Province of Argentina Córdoba. This document constitutes a binding commercial instrument under the Argentine Civil and Commercial Code (Ley 26994) and applicable provincial regulations governing medical professional services in the Province of Córdoba.
The Radiologist engaged under this Purchase Order shall be responsible for the interpretation, reporting, and clinical correlation of all diagnostic imaging studies performed at the Purchasing Entity's facilities located in Córdoba Capital and its surrounding departments. The scope of services encompasses, but is not limited to, computed tomography (CT), magnetic resonance imaging (MRI), digital radiography, ultrasound, and fluoroscopic procedures.

All prices are expressed in Argentine Pesos (ARS) and are inclusive of applicable Value Added Tax (IVA) at the rate of 21% as established by the Administración Federal de Ingresos Públicos (AFIP) of Argentina. The Radiologist shall issue a fiscal invoice (factura) in accordance with the electronic invoicing system (Sistema de Facturación Electrónica) mandated for the Province of Córdoba.
- Contract Duration: This Purchase Order shall remain in effect for a period of twelve (12) months from the date of acceptance, commencing on 1 July 2025 and terminating on 30 June 2026, unless renewed in writing by both parties no later than thirty (30) days prior to expiration.
- Professional Qualifications: The Radiologist must hold a valid medical license issued by the Colegio de Médicos de la Provincia de Córdoba, a recognized subspecialty certification in Radiology (Residencia en Radiología), and maintain current malpractice insurance coverage of no less than ARS 50,000,000 per occurrence.
- Payment Terms: Payment shall be made within fifteen (15) calendar days from the receipt of a valid fiscal invoice. The Purchasing Entity shall process payments via electronic bank transfer (transferencia bancaria) to the account designated by the Radiologist in the Province of Córdoba.
- Compliance with Local Regulations: All services rendered under this Purchase Order shall comply with the regulations of the Ministerio de Salud de la Provincia de Córdoba, the Argentine National Health Ministry (Ministerio de Salud de la Nación), and applicable radiation safety standards established by the Comisión Nacional de Energía Atómica (CNEA).
- Confidentiality: The Radiologist shall maintain strict confidentiality of all patient data in accordance with Argentine Law 25.326 on Personal Data Protection and the professional secrecy obligations under the Código de Ética Médica de la Provincia de Córdoba.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Republic of Argentina. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the civil and commercial courts of the city of Córdoba Capital, Province of Córdoba, Argentina.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or governmental actions affecting the Province of Córdoba.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Radiologist to provide diagnostic imaging services in Argentina Córdoba. This document is executed in two (2) original copies, one for each party, and carries equal legal force.
