Purchase Order DescriptionThis Purchase Order is issued by Sunshine Coast & Brisbane Medical Imaging Centre Pty Ltd (hereinafter referred to as the "Purchasing Entity") to engage the services of Dr. Eleanor M. Whitfield, a fully accredited Consultant Radiologist registered with the Australian Health Practitioner Regulation Agency (AHPRA), for the provision of diagnostic radiology interpretation services at the facility located in Australia Brisbane. This Purchase Order governs the scope of professional services, compensation structure, and contractual obligations for the engagement period specified herein. The Radiologist shall perform all duties in accordance with the Australian Radiation Protection and Nuclear Safety Act 1998 (Cth), the Queensland Radiation Protection and Safety Act 2019, and the professional standards set forth by the Australian College of Radiologists (ACR).

1. Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Brisbane and the surrounding metropolitan region.
2. Professional Registration and Compliance: The Radiologist warrants that they hold a current, unrestricted medical registration with the Medical Board of Australia (AHPRA) and a valid Fellowship with the Royal Australasian College of Radiologists (FANZCR). The Radiologist shall maintain a valid Australian Radiation Safety Licence and comply with all radiation safety protocols mandated by the Queensland Radiation Protection and Safety Act 2019.
3. Payment Terms: Invoices submitted by the Radiologist under this Purchase Order shall be payable within thirty (30) calendar days of receipt of a valid tax invoice. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the Radiologist in writing. All amounts are quoted in Australian Dollars (AUD) and are inclusive of applicable Goods and Services Tax (GST) as administered by the Australian Taxation Office.
4. Service Level Expectations: The Radiologist shall deliver all diagnostic reports within the timeframes specified in the line items above. Urgent and emergency reports shall be communicated to the referring clinician within two (2) hours of image acquisition. Failure to meet these service levels on more than three (3) occasions in any calendar month may result in a proportional reduction of the monthly fee as determined by the Purchasing Entity.
5. Confidentiality and Privacy: The Radiologist shall comply with the Privacy Act 1988 (Cth), the National Privacy Principles, and the Australian Privacy Principles (APPs). All patient imaging data and clinical information accessed in the course of this engagement shall be treated as strictly confidential and shall not be disclosed to any third party without the express written consent of the patient or as required by law.
6. Term and Termination: This Purchase Order is effective from 1 July 2025 through 30 June 2026. Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. Termination shall not affect any accrued obligations or liabilities arising prior to the effective date of termination.
7. Insurance: The Radiologist shall maintain, at their own expense, a minimum of $10,000,000 in professional indemnity insurance and $5,000,000 in public liability insurance, with Sunshine Coast & Brisbane Medical Imaging Centre Pty Ltd named as an additional insured party. Certificates of insurance shall be provided upon request.
8. Intellectual Property: All diagnostic reports, annotations, and clinical opinions generated by the Radiologist in the performance of this Purchase Order shall become the property of the Purchasing Entity upon payment in full.
