1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium, specifically the regulations applicable within the Belgium Brussels region. 2. Professional Obligations of the Radiologist: The Radiologist, Dr. Jean-Pierre Delacroix, shall perform all diagnostic and interventional radiology services with the degree of skill, care, and diligence expected of a qualified medical professional in Belgium. The Radiologist shall maintain valid professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of € 5,000,000 throughout the duration of this Purchase Order.

Compliance with Belgian Medical Regulations: The Radiologist shall comply with all directives issued by the Belgian Federal Public Service Health (SPF Santé), the Brussels-Capital Region health regulations, and the ethical code of the Belgian Medical Council. 4. 5. Payment Schedule: Invoices shall be submitted monthly by the 5th business day following the end of each calendar month. Payment shall be made via bank transfer to the IBAN specified in Section 2 within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 August 2002 on late payment in commercial transactions.
6. Duration and Termination: This Purchase Order is valid for a period of twelve (12) months commencing on 01 September 2025 and expiring on 31 August 2026.
