- Scope of Radiologist Services: The contracted Radiologist, Dr. Helena Vasconcelos, shall provide all diagnostic and interventional radiology services as outlined in Section 3 of this Purchase Order. All services shall be rendered at the Hospital Santa Clara facility located in Rio de Janeiro, Brazil, or at such other location within the municipality of Rio de Janeiro as mutually agreed upon in writing.
- Professional Qualifications: The Radiologist must maintain an active CRM registration with the Conselho Regional de Medicina do Estado do Rio de Janeiro (CREMERJ) throughout the entire contract period. The Radiologist shall hold a valid RQE (Registro de Qualificação Especial) in Radiologia e Diagnóstico por Imagem as mandated by Brazilian medical regulatory authorities.
- Compliance with Brazilian Regulations: All radiological procedures and interpretations shall comply with the norms established by the Agência Nacional de Vigilância Sanitária (ANVISA), the Conselho Federal de Medicina (CFM), and applicable radiation safety regulations in force in the state of Rio de Janeiro, Brazil.
- Confidentiality and Data Protection: The Radiologist shall adhere strictly to the Brazilian General Data Protection Law (Lei Geral de Proteção de Dados — LGPD, Lei 13.709/2018) regarding all patient imaging data, medical records, and personal health information processed during the performance of services in Rio de Janeiro, Brazil.
- Payment Schedule: Invoices shall be submitted by the Radiologist on the last business day of each calendar month. Payment shall be made via bank transfer (TED/DOC) to the account designated by the Radiologist within 30 calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC index, in accordance with Brazilian commercial law.
- Termination: Either party may terminate this Purchase Order with 60 days prior written notice. In the event of termination, the Radiologist shall complete all pending imaging interpretations and deliver final reports within 15 business days of the termination effective date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the courts of the Comarca do Rio de Janeiro, Estado do Rio de Janeiro, Brazil, or through arbitration at the Câmara de Arbitragem da FIESP/CIAM, as elected by the aggrieved party.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters affecting Rio de Janeiro, Brazil, pandemics, government mandates, or civil unrest.
