The Radiologist engaged under this Purchase Order shall be responsible for the following duties within the Canada Montreal healthcare network:
- Timely interpretation and reporting of all diagnostic imaging studies performed at the Montreal Diagnostic Imaging Centre facility, with a maximum turnaround time of four (4) hours for routine studies and one (1) hour for urgent or emergency cases.
- Direct clinical consultation with referring physicians, surgeons, and specialists located in Canada Montreal to provide radiological guidance, second opinions, and differential diagnoses.
- Supervision of junior radiology residents and technologists during imaging procedures conducted at the Canada Montreal site.
- Participation in quality assurance committees, peer review sessions, and accreditation audits as required by the Canadian Association of Radiologists and the Quebec Ministry of Health.
- Maintenance of all patient records in compliance with the Quebec Health Insurance Act (Loi sur les assurances médicales) and the Personal Information Protection and Electronic Documents Act (PIPEDA).
- Availability for on-call emergency radiology coverage at the designated Canada Montreal hospital partner, with a response time not exceeding thirty (30) minutes.
- Payment Terms: Net 30 days from the date of invoice receipt. Payment shall be made via electronic funds transfer (EFT) to the Radiologist's designated bank account in Canada Montreal. Late payments shall accrue interest at 1.5% per month as per the Quebec Civil Code.
- Compliance: The Radiologist shall maintain an active, unrestricted license to practice medicine in the Province of Quebec and shall hold valid certification from the College of Family Physicians of Canada or the Royal College of Physicians and Surgeons of Canada in the specialty of Diagnostic Radiology.
- Insurance: The Radiologist shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence, naming Montreal Diagnostic Imaging Centre Inc. as an additional insured party.
- Confidentiality: All patient information accessed under this Purchase Order shall be treated as strictly confidential in accordance with Quebec's Law 25 (modernization of privacy legislation) and applicable Canada Montreal municipal health regulations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Radiologist shall complete all in-progress studies and submit final reports before the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable in Canada Montreal.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Montreal before proceeding to the Superior Court of Quebec.
