- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Vancouver, British Columbia, in accordance with the BC Arbitration Act.
- Scope of Services: The Radiologist named herein shall provide all diagnostic imaging interpretation, clinical consultation, and interventional procedures as outlined in the line items above. All services shall be rendered in compliance with the standards set by the Canadian Association of Radiologists (CAR) and the British Columbia College of Physicians and Surgeons (BCCPS).
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day following the end of each calendar month. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate prescribed under the British Columbia Interest Act.
- Confidentiality and Patient Privacy: The Radiologist shall comply fully with the Personal Information Protection Act (PIPA) of British Columbia and the federal Privacy Act of Canada. All patient imaging data and reports shall be handled in strict accordance with the facility's data protection protocols and the Canadian Medical Association's ethical guidelines.
- Insurance and Liability: The Radiologist shall maintain professional liability insurance (medical malpractice) with a minimum coverage of $5,000,000 per occurrence, issued by a Canadian insurance carrier, for the duration of this Purchase Order. Certificates of insurance shall be provided prior to the commencement of services.
- Performance Standards: All imaging reports shall be completed within the turnaround times established by the Canadian Association of Radiologists' guidelines (routine: 24 hours; urgent: 4 hours; emergency: 1 hour). Failure to meet these standards for more than two (2) consecutive weeks may result in a service credit of 5% of the affected line item.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Radiologist shall complete all pending imaging reads and provide a full handover of patient records to the facility's designated replacement physician within fourteen (14) days.
- Compliance with Canadian Regulations: All services shall comply with the Health Professions Act (BC), the Radiation Safety Act (BC), and applicable federal regulations administered by Health Canada. The Radiologist shall maintain all required licenses, certifications, and BCCPS registration in good standing throughout the term of this Purchase Order.
- Work Location: Primary services shall be performed at the Northwest Diagnostic Imaging Centre facility located in Vancouver, British Columbia, Canada. Tele-radiology services (Line Item 5) may be performed remotely from any location within Canada, provided that all data transmission complies with Canadian cybersecurity and health information standards.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both parties. Any changes to scope, rates, or schedule must be documented as a formal Purchase Order amendment.
