This Purchase Order is issued by Guangzhou Advanced Medical Imaging Center Co., Ltd. to formally engage the above-named Radiologist for the provision of specialized diagnostic imaging interpretation services at the facility located in China Guangzhou. - All payments under this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the Radiologist's designated account at China Merchants Bank, Guangzhou Branch.
- Monthly service fees (Items 01, 03, and 06) shall be invoiced on the 25th of each month and paid within fifteen (15) business days of invoice receipt.
- On-call shift payments (Item 02) shall be settled bi-weekly based on the shift log approved by the Department Head.
- Tumor board session fees (Item 04) shall be paid within ten (10) business days following each session.
- The CME allowance (Item 05) shall be disbursed in two equal installments: 50% at the commencement of the contract period and 50% upon submission of conference attendance certificates.
- A late payment penalty of 0.05% per calendar day shall apply to any overdue amounts exceeding the stipulated payment window.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and applicable medical practice regulations in Guangdong Province.
- Professional Standards: The Radiologist shall maintain all required licenses, certifications, and malpractice insurance coverage throughout the engagement period. Failure to maintain valid credentials in China Guangzhou shall constitute grounds for immediate termination.
- Confidentiality: The Radiologist shall comply with the Personal Information Protection Law of the PRC and all institutional data privacy policies. Patient imaging data and diagnostic reports shall not be disclosed to any third party without written authorization.
- Intellectual Property: All diagnostic reports, research findings, and clinical protocols developed during the term of this Purchase Order shall remain the property of Guangzhou Advanced Medical Imaging Center Co., Ltd.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In cases of gross professional misconduct or license revocation, the purchasing entity reserves the right to terminate immediately without notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the Guangzhou International Arbitration Center for binding arbitration in China Guangzhou.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in China Guangzhou.
- Compliance: The Radiologist warrants full compliance with all anti-corruption, anti-bribery, and medical ethics regulations applicable in the People's Republic of China.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Radiologist as described herein. The purchasing entity confirms that all necessary internal approvals, budget allocations, and regulatory filings in China Guangzhou have been completed prior to the execution of this document.
