This Purchase Order is issued by Hôpital Général de Kinshasa, located in the capital city of DR Congo Kinshasa, for the purpose of engaging a qualified and licensed Radiologist to provide comprehensive diagnostic imaging services to the hospital's radiology and medical imaging department. The Radiologist engaged under this Purchase Order shall perform duties exclusively at the Hôpital Général de Kinshasa facility in DR Congo Kinshasa, unless otherwise authorized in writing by the hospital director. The Radiologist is expected to be present on-site from Monday to Friday, 07:00 to 17:00, and to respond to emergency imaging requests within thirty (30) minutes during on-call periods. All diagnostic reports must be issued within four (4) hours of image acquisition for routine cases and within one (1) hour for emergency cases. The Radiologist shall maintain full compliance with the medical practice regulations of the Ministry of Health of the Democratic Republic of the Congo and shall hold a valid, current medical license throughout the contract period.
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Radiologist or their authorized representative. A signed copy must be returned to the procurement office in DR Congo Kinshasa within ten (10) business days of issuance.
- Payment: Invoices shall be submitted monthly by the 5th of the following month. Payment shall be made via bank transfer to the account designated by the Radiologist within thirty (30) days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of gross professional misconduct or loss of medical license, the hospital reserves the right to terminate immediately without penalty.
- Confidentiality: The Radiologist shall maintain strict confidentiality of all patient records in accordance with the data protection laws of DR Congo Kinshasa and the ethical standards of the Congolese Medical Council.
- Insurance: The Radiologist shall maintain professional liability insurance with a minimum coverage of USD 500,000 per claim, valid throughout the contract term in DR Congo Kinshasa.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Kinshasa, DR Congo, and, failing mediation, through the competent commercial courts of the City of Kinshasa.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo, with particular reference to the procurement and public health regulations applicable in DR Congo Kinshasa.
