This Purchase Order is issued by Klinikum München-Süd GmbH to formally engage the services of a qualified Radiologist for the provision of diagnostic imaging interpretation, clinical consultation, and related radiological services at the facility located in Munich, Germany.   1. Place of Performance: All services under this Purchase Order shall be rendered at the premises of Klinikum München-Süd GmbH, Ismaninger Straße 22, 81675 Munich, Germany, or at such other location within Munich, Germany as mutually agreed in writing by both parties.
  2. Professional Qualification: The Radiologist warrants that she holds a valid medical license (Approbation) issued by the Bavarian State Medical Association and is registered as a specialist in Radiology (Facharzt für Radiologie) in accordance with the German Medical Licensing Regulations (Approbationsordnung).
  3. Confidentiality and Data Protection: The Radiologist shall comply with all provisions of the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG) and the European General Data Protection Regulation (GDPR) in handling all patient data and medical records processed in Munich, Germany.
  4. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer (SEPA) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at the statutory rate under § 288 BGB.
  5. Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In cases of gross professional misconduct or loss of medical license, immediate termination is permitted without notice.
  6. Liability and Insurance: The Radiologist shall maintain professional medical liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of € 5,000,000 per claim, as required for medical practitioners operating in Munich, Germany.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved by the competent courts in Munich, Germany. The parties agree to attempt mediation before initiating formal legal proceedings.
  8. Applicable Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Federal Republic of Germany. All references to Munich, Germany are to the city of München in the Free State of Bavaria (Freistaat Bayern).
  9. Subcontracting: The Radiologist shall not subcontract any portion of the services described in this Purchase Order without prior written consent from Klinikum München-Süd GmbH.
  10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting medical facilities in Munich, Germany.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Radiologist at the specified facility in Munich, Germany. This document constitutes a binding agreement upon execution by both authorized representatives.
