This Purchase Order is issued by the Accra Metropolitan Diagnostic Imaging Centre (hereinafter referred to as the "Buyer") to engage the services of a qualified and licensed Radiologist (hereinafter referred to as the "Radiologist" or "Vendor") for the provision of comprehensive diagnostic imaging interpretation services at the Buyer's facility located in Ghana Accra. The Radiologist shall be responsible for the interpretation of all radiological examinations including but not limited to X-ray, Computed Tomography (CT), Magnetic Resonance Imaging (MRI), Ultrasound, and Fluoroscopy studies conducted at the centre. This Purchase Order governs the scope, compensation, and professional obligations of the Radiologist throughout the contract period.

- Qualification Requirement: The Radiologist engaged under this Purchase Order must hold a valid licence issued by the Medical and Dental Council of Ghana and must be a registered member of the Ghana Radiological Society. A copy of the current licence shall be submitted to the Buyer prior to commencement of services in Ghana Accra.
- Scope of Work: The Radiologist shall interpret all imaging studies performed at the Accra Metropolitan Diagnostic Imaging Centre within the timelines specified by the Buyer. Reports must be delivered electronically via the centre's PACS system within four (4) hours for routine studies and within one (1) hour for emergency or stat studies.
- Payment Schedule: Payment for services rendered under this Purchase Order shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice. All payments shall be made in Ghana Cedi (GHS) via bank transfer to the account designated by the Radiologist.
- Compliance with Ghanaian Law: The Radiologist shall comply with all applicable laws and regulations of the Republic of Ghana, including the Data Protection Act, 2012 (Act 843), the Medical and Dental Act, 2016 (Act 933), and all guidelines issued by the Ghana Health Service regarding patient confidentiality and radiological safety.
- Confidentiality: The Radiologist shall maintain strict confidentiality of all patient records and imaging data obtained during the course of services in Ghana Accra. Any breach of patient privacy shall constitute grounds for immediate termination of this Purchase Order.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. The Buyer may terminate immediately in the event of material breach, unprofessional conduct, or loss of the Radiologist's licence to practise in Ghana.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration in Accra, Ghana, in accordance with the Arbitration Act, 2099 (Act 626) of Ghana.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Ghana Accra.
