This Purchase Order is issued by Sri Venkateshwara Diagnostic & Imaging Centre Pvt. Ltd., Bangalore, to engage the services of a qualified Radiologist for the provision of diagnostic imaging interpretation, radiological consultation, and related medical services at the facility located in India Bangalore. The Radiologist shall be responsible for the interpretation of all imaging studies including but not limited to X-ray, Computed Tomography (CT), Magnetic Resonance Imaging (MRI), Ultrasound, and Fluoroscopy examinations conducted at the centre. This Purchase Order governs the professional engagement of the Radiologist for a period of twelve (12) months commencing from 1 July 2025 through 30 June 2026, subject to the terms and conditions outlined herein.

Note: All amounts are in Indian Rupees (INR). The per-study and per-procedure charges are estimates for budgetary purposes. Actual billing shall be based on the number of services rendered during the contract period in Bangalore, India.
- Engagement of Radiologist: The Radiologist, Dr. Meera Subramanian, shall render professional radiological services exclusively at the purchasing entity's facility in Bangalore, Karnataka, India. The Radiologist shall maintain valid registration with the Karnataka State Medical Council and the Medical Council of India (now National Medical Commission) throughout the duration of this Purchase Order.
- Payment Terms: Payment shall be made on a monthly basis within fifteen (15) calendar days of receipt of a valid tax invoice from the Radiologist. Payment shall be processed via NEFT/RTGS to the bank account designated by the Radiologist. All payments are subject to applicable TDS (Tax Deducted at Source) deductions as per the Income Tax Act, 1961, of India.
- Service Standards: The Radiologist shall ensure that all imaging reports are delivered within four (4) hours for routine studies and within one (1) hour for emergency/urgent studies. Reports shall be issued in both English and Kannada as required by the facility's patient demographic in Bangalore.
- Confidentiality and Data Protection: The Radiologist shall comply with all applicable data protection regulations, including the Digital Personal Data Protection Act, 2023, of India. All patient imaging data and reports generated at the Bangalore facility shall be treated as strictly confidential and shall not be disclosed to any third party without written consent.
- Professional Indemnity: The Radiologist shall maintain a valid professional indemnity insurance policy with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) for the entire duration of this Purchase Order. Proof of insurance shall be submitted to the purchasing entity prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of material breach, termination may be effected with seven (7) days' notice. Upon termination, all outstanding payments for services rendered up to the date of termination shall be settled within thirty (30) days.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, pandemics, or civil unrest affecting the Bangalore region.
- Compliance with Local Regulations: The Radiologist shall comply with all applicable regulations of the Karnataka State Pollution Control Board, the Atomic Energy Regulatory Board (AERB) for radiation safety, and the Karnataka Medical Council's code of professional conduct while performing duties in India Bangalore.
- Amendments: Any modification or amendment to this Purchase Order shall be valid only if made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid amendment to this document.
This Purchase Order is issued in accordance with the internal procurement policies of Sri Venkateshwara Diagnostic & Imaging Centre Pvt. Ltd., Bangalore. The undersigned hereby authorize the engagement of the Radiologist as described herein and confirm that all financial commitments outlined in this document have been approved by the Board of Directors of the purchasing entity.
