This Purchase Order constitutes a binding contractual agreement between the parties for the duration and scope specified herein.

- Acceptance: This Purchase Order shall become effective upon written acceptance and countersignature by the Radiologist within seven (7) calendar days of the date of issue. Failure to sign within this period shall render this Purchase Order null and void.
- Service Commencement: The Radiologist shall commence all services at the designated facility in India New Delhi on or before 1 July 2025. Any delay beyond this date shall be subject to a penalty of ₹5,000 per day of delay.
- Payment Terms: Monthly service fees shall be payable within fifteen (15) days from the end of each calendar month, subject to submission of a valid GST invoice. The capital item (Line Item 5) shall be paid in two equal instalments – 50% upon delivery and 50% upon successful installation and calibration at the India New Delhi premises.
- Professional Compliance: The Radiologist shall maintain valid registration with the National Medical Commission (NMC), India, and all applicable state-level medical registrations for the state of Delhi. The Radiologist shall carry professional indemnity insurance with a minimum cover of ₹50,00,000 for the entire contract period.
- Confidentiality: All patient data, imaging records, and clinical information accessed by the Radiologist in the course of this Purchase Order shall be treated as strictly confidential and handled in accordance with the Digital Personal Data Protection Act, 2023, and the Indian Medical Council (Professional Conduct) Regulations.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all services rendered up to the effective date of termination. The Radiologist shall return all equipment, access credentials, and patient records to the Purchaser's India New Delhi facility within seven days of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns, or epidemics affecting operations in India New Delhi.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both the Purchaser and the Radiologist.
