- This Purchase Order is issued by MediScan Diagnostic Imaging Center, Tel Aviv, Israel, and constitutes a binding agreement for the provision of Radiologist services as described in the line items above. The Radiologist agrees to render all diagnostic and interventional radiology services in accordance with the standards set forth by the Israeli Ministry of Health and the Israeli Radiological Society.
- The Radiologist shall maintain full professional liability insurance with a minimum coverage of ILS 2,000,000 per occurrence, as required by Israeli medical practice regulations. Proof of insurance shall be provided prior to the commencement of services in Tel Aviv.
- All services under this Purchase Order shall be performed at the MediScan facility located at 45 Allenby Street, Tel Aviv-Yafo, Israel, unless otherwise agreed in writing. The Radiologist is expected to be physically present at the Tel Aviv site for a minimum of 40 hours per week during the contracted period.
- Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices must be submitted in Hebrew or English and must include the vendor's VAT number, the Purchase Order reference number (PO-2025-TLV-0347), and a detailed breakdown of services rendered. Payment shall be made via bank transfer to the account designated by the Radiologist.
- The Radiologist shall comply with all applicable Israeli data protection laws, including the Privacy Protection Law, 5741-1981, and the regulations of the Israeli Data Protection Authority. All patient imaging data and reports generated in Tel Aviv shall be stored on secure, encrypted servers located within Israel and shall not be transferred outside the country without explicit written consent.
- This Purchase Order may be terminated by either party with a written notice of thirty (30) days. In the event of early termination, the Radiologist shall be compensated for all services rendered up to the termination date, and the purchasing entity shall be released from any future payment obligations.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Tel Aviv, Israel, in accordance with the provisions of the Israeli Arbitration Law, 5728-1968. The courts of Tel Aviv shall have exclusive jurisdiction.
- The Radiologist warrants that all diagnostic reports and interpretations shall be performed in a timely manner: routine reports within 24 hours, urgent reports within 4 hours, and critical/emergency findings communicated verbally to the referring physician within 15 minutes of identification.
- This Purchase Order is governed by the laws of the State of Israel. All terms, conditions, and obligations herein shall be interpreted in accordance with Israeli commercial and medical practice law.
