Payment for this Purchase Order shall be made via bank transfer (bonifico bancario) to the account designated by the Radiologist, in accordance with Italian commercial law (Codice Civile, Articles 1549–1593). Invoices shall be submitted monthly, no later than the 5th business day of the following month. Payment shall be processed within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate established by the European Commission's Late Payment Directive (2000/35/EC) as transposed into Italian law (Legge 288/2002).
- All services under this Purchase Order shall be rendered exclusively at the Ospedale Universitario Federico II facility located in Naples, Italy, or at such other approved medical imaging centers within the metropolitan area of Naples as mutually agreed in writing.
- The Radiologist shall comply with all data protection requirements under the Italian Privacy Code (Codice in materia di protezione dei dati personali, D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR, Regulation 2016/679) when handling patient imaging data.
- The Radiologist warrants that all professional qualifications, board certifications, and malpractice insurance (RC professionale) are current and valid throughout the term of this Purchase Order.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunale di Napoli, Naples, Italy.
- The Radiologist shall observe all hospital policies, infection control protocols, and radiation safety guidelines as established by the Italian National Institute of Health (Istituto Superiore di Sanità) and the local ASL Napoli 1 Centro.
By signing below, both parties acknowledge and accept all terms, conditions, and service specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Radiologist services in Naples, Italy, effective from the date of the last signature until the expiration date stated herein, unless terminated earlier by mutual written consent or for cause as defined under Italian contract law.
