- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Italian Republic, with jurisdiction vested in the competent courts of Rome, Italy. All disputes arising from this Purchase Order relating to the Radiologist's professional engagement shall be resolved under Italian medical malpractice and labor regulations.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices must be submitted in euros (EUR) and must reference this Purchase Order number (PO-2025-RM-0487). Payment shall be processed via bank transfer to the account designated by the Radiologist in Italy Rome.
- Professional Licensure: The Radiologist must maintain an active and valid professional license issued by the Italian medical board (Ordine dei Medici Chirurghi e degli Odontoiatri di Roma) throughout the entire duration of this Purchase Order. Any lapse in licensure shall constitute immediate grounds for termination.
- Confidentiality and Data Protection: The Radiologist shall comply fully with the Italian Data Protection Code (Codice in materia di protezione dei dati personali, D.Lgs. 196/2003) and the European General Data Protection Regulation (GDPR) in handling all patient imaging data and medical records processed in Italy Rome.
- Scope Limitation: The Radiologist's duties are strictly limited to diagnostic imaging interpretation and related radiological services as described in the line items above. The Radiologist shall not perform surgical procedures or provide general medical consultations outside the radiology discipline.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Radiologist shall be compensated for all services rendered up to the effective date of termination.
- Insurance: The Radiologist shall maintain professional liability insurance (RC Medica) with a minimum coverage of EUR 1,000,000 per claim, valid throughout the territory of Italy, and shall provide a certificate of insurance upon request.
- Work Location: All services under this Purchase Order shall be performed at the hospital premises located in Rome, Italy, or at such other approved clinical sites within the Lazio region as mutually agreed in writing.
