- This Purchase Order is issued by Clinique Médicale de l'Afrique, a registered medical institution operating in Abidjan, Ivory Coast, and constitutes a binding agreement for the engagement of the named Radiologist and associated diagnostic services.
- Payment shall be made in CFA Francs (XOF) via bank transfer to the Radiologist's designated account at Société Générale Côte d'Ivoire, Abidjan branch, within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-CI-2025-04782).
- A 10% advance payment shall be disbursed upon formal acceptance of this Purchase Order by the Radiologist, with the remaining balance payable in twelve (12) equal monthly installments aligned with the service delivery period.
- All payments are subject to the withholding tax regulations of the Ivory Coast Abidjan tax authority (Direction Générale des Impôts). The issuing entity shall deduct the applicable 10% professional income tax and remit it to the Ivorian tax office within the statutory deadline.
- Late payments shall incur a penalty of 1.5% per month of delay, in accordance with the Ivorian Commercial Code (Code de Commerce de Côte d'Ivoire).
- The Radiologist shall provide a detailed itemized invoice for each monthly installment, specifying hours worked, number of imaging procedures performed, and any additional services rendered at the Ivory Coast Abidjan facility.
- The Radiologist shall comply with all professional standards set by the Ordre des Médecins de Côte d'Ivoire and the regulatory requirements of the Ministry of Health, Hygiene, and Social Action of Ivory Coast, Abidjan regional directorate.
- The Radiologist shall maintain valid professional liability insurance with a minimum coverage of 50,000,000 XOF, naming the issuing clinic as an additional insured party. Proof of insurance shall be provided prior to commencement of services.
- All patient imaging data and medical records generated at the Ivory Coast Abidjan facility shall be handled in strict accordance with Ivorian data protection laws and the professional confidentiality obligations of the medical profession.
- The Radiologist shall ensure that all diagnostic reports are issued within twenty-four (24) hours of the imaging procedure, and within two (2) hours for emergency cases, as required by the operational protocols of the Abidjan clinic.
- Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Radiologist shall be compensated for all services rendered up to the effective date of termination.
- Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of Abidjan, Ivory Coast.
- This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire, and all interpretations shall be made in accordance with Ivorian civil and commercial law.
