This Purchase Order is issued to formally procure the professional services of a board-certified Radiologist to be deployed and rendered at the designated medical facilities located in Japan Kyoto. - Scope of Engagement: The Radiologist named in this Purchase Order shall provide all diagnostic and interventional radiology services exclusively at the facilities located in Japan Kyoto as specified in Section 3. The Radiologist shall maintain valid licensure with the Japan Ministry of Health, Labour and Welfare throughout the duration of this Purchase Order.
- Performance Standards: All radiological reports and interpretations shall comply with the Japanese Society of Radiological Technology guidelines. The Radiologist shall ensure a minimum reporting turnaround time of four (4) hours for routine studies and one (1) hour for urgent or emergency imaging performed in Japan Kyoto.
- Payment Terms: Payment shall be made in monthly installments within thirty (30) days of invoice receipt. The total Purchase Order value of 42,460,000 JPY shall be disbursed in equal monthly tranches of 3,538,333 JPY over the twelve-month contract period, subject to satisfactory performance evaluation.
- Compliance and Regulation: The Radiologist shall adhere to all radiation safety regulations enforced by the Japan Kyoto Prefectural Government, including annual dosimetry monitoring, ALARA protocol compliance, and mandatory reporting of any radiation incidents to the Japan Kyoto Health Bureau.
- Confidentiality: All patient data, imaging records, and clinical information accessed by the Radiologist in Japan Kyoto shall be treated as strictly confidential in accordance with Japan's Act on the Protection of Personal Information (APPI) and the medical confidentiality provisions of the Japan Medical Practitioners Act.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Radiologist shall complete all pending imaging reports for patients in Japan Kyoto before the effective termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with jurisdiction vested in the Japan Kyoto District Court for any disputes arising from this engagement.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, including earthquakes, typhoons, or volcanic activity affecting the Japan Kyoto region, provided that written notice is given within forty-eight (48) hours of the event.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the Radiologist services to be rendered in Japan Kyoto. This document constitutes a binding procurement agreement effective from the date of the last signature.
