Description of ProcurementThis Purchase Order is issued by Osaka Metropolitan Medical Center to formally engage the services of a qualified Radiologist for the provision of diagnostic imaging interpretation, clinical consultation, and radiological reporting services within the Japan Osaka metropolitan area. The engagement of this Radiologist is necessitated by the increasing volume of CT, MRI, and ultrasound examinations conducted at the center's facilities in Chuo-ku and Kita-ku, Osaka. The Radiologist shall operate in full compliance with the Medical Practitioners Act of Japan, the Radiation Pressure and Protection Act, and all applicable regulations enforced by the Osaka Prefectural Board of Health. This Purchase Order constitutes a binding agreement between the parties for the duration specified herein and shall be governed by the laws of Japan, with jurisdiction residing in the Osaka District Court.

- Scope of Engagement: The Radiologist shall provide all diagnostic imaging services, written radiological reports, and clinical consultations as outlined in this Purchase Order. All services shall be rendered at the designated facilities within Japan Osaka unless otherwise agreed in writing by both parties.
- Licensing and Compliance: The Radiologist shall maintain a valid medical license issued by the Japanese Ministry of Health, Labour and Welfare, as well as a current radiation safety certification. All work performed in Japan Osaka shall comply with the Osaka Prefectural Medical Association guidelines and the national Radiation Pressure and Protection Act (Act No. 167 of 1959).
- Payment Terms: Invoices shall be submitted to the purchasing entity by the 5th of each month for services rendered in the preceding month. Payment shall be processed via bank transfer to the account specified by the Radiologist within 30 calendar days of invoice receipt. Late payments shall accrue interest at 1.5% per month as stipulated under Japanese commercial law.
- Confidentiality and Data Protection: The Radiologist shall adhere strictly to the Act on the Protection of Personal Information (APPI) of Japan. All patient imaging data and clinical records generated during the engagement in Japan Osaka shall be stored on the hospital's encrypted server and shall not be transferred outside the facility without explicit written authorization.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Radiologist shall complete all pending radiological reports within 14 days of the termination date to ensure continuity of patient care in Japan Osaka.
- Insurance and Liability: The Radiologist shall maintain professional medical malpractice insurance with a minimum coverage of ¥100,000,000 per incident, as required for all practicing physicians in Japan Osaka. Proof of insurance shall be provided upon execution of this Purchase Order and renewed annually.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation through the Osaka Medical Dispute Resolution Center. If unresolved within 90 days, the matter shall be referred to the Osaka District Court under the jurisdiction of Japan Osaka.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters (including earthquakes common to the Japan Osaka region), pandemics, or government-mandated closures, provided that written notice is given within 48 hours of the event.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Radiologist in Japan Osaka. This document is executed in two (2) original copies, one for each party.
