3. TERMS AND CONDITIONS
  1. Scope of Engagement: The Radiologist shall provide all diagnostic imaging interpretation services as outlined in this Purchase Order at the Nairobi City Diagnostic Imaging Centre premises located in Kenya Nairobi. The Radiologist shall be available on-site for a minimum of five (5) working days per week, from 08:00 to 17:00 hours, with additional on-call availability as specified in Line Item 02.
  2. Professional Qualifications: The Radiologist must hold a valid practicing license issued by the Kenya Medical Practitioners and Dentists Council (KMPDC) and must be a registered member of the Radiological Society of Kenya. All qualifications and certifications shall be verified prior to commencement of services under this Purchase Order.
  3. Payment Terms: Payment for services rendered under this Purchase Order shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice from the Radiologist. All payments shall be made via bank transfer to the account designated by the Radiologist. The total contract value of KES 9,117,600.00 (inclusive of VAT) shall be disbursed in twelve (12) equal monthly installments of KES 759,800.00.
  4. Compliance with Kenyan Law: All services rendered under this Purchase Order shall comply with the laws of the Republic of Kenya, including the Medical Practitioners and Dentists Act (Cap 134), the Radiation Protection and Nuclear Safety Act (2017), and all applicable regulations of the National Council for Radiation Protection and Research operating in Kenya Nairobi.
  5. Confidentiality and Data Protection: The Radiologist shall adhere strictly to the Kenya Data Protection Act (2019) and all patient confidentiality obligations. All radiological reports and patient imaging data shall be handled in accordance with the facility's data protection policies and the Kenya Information and Communications Act.
  6. Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of termination, the Radiologist shall be compensated for all services rendered up to the effective date of termination.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration in Kenya Nairobi in accordance with the Arbitration Act (Cap 49) of the Laws of Kenya.
  8. Insurance: The Radiologist shall maintain valid professional indemnity insurance with a minimum coverage of KES 10,000,000.00 for the duration of this Purchase Order. Proof of insurance shall be provided to the Purchaser prior to commencement of services.
  9. Performance Standards: The Radiologist shall ensure that all radiological reports are issued within four (4) hours for routine examinations and within one (1) hour for emergency/urgent examinations. Failure to meet these standards on more than three (3) occasions in any calendar month shall constitute a material breach of this Purchase Order.
  10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya, with jurisdiction vested in the courts of Kenya Nairobi.
4. AUTHORIZATION AND ACCEPTANCE

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Radiologist at the Kenya Nairobi facility. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorized signatories.
