1. Description of Purchase OrderThis Purchase Order is issued by Clínica Diagnóstica del Valle, S.A. de C.V., a diagnostic imaging center located in Mexico Mexico City, for the professional services of a licensed Radiologist. 3.1 Scope of Engagement: The Radiologist shall provide all diagnostic imaging interpretation services as outlined in this Purchase Order at the Clínica Diagnóstica del Valle facility located in Mexico Mexico City. The Radiologist is expected to issue written radiological reports within four (4) hours for routine studies and within one (1) hour for emergency or critical findings.
3.2 Professional Credentials: The Radiologist must maintain an active medical license issued by the Secretaría de Salud of Mexico, a valid board certification in Radiology from the Consejo Mexicano de Radiología, and professional liability insurance with a minimum coverage of MXN $5,000,000.00 for the entire duration of this Purchase Order.
3.3 Payment Terms: Payment shall be made via bank transfer (SPEI) to the account designated by the Radiologist within fifteen (15) business days from the date of invoice submission. All payments are subject to the withholding of applicable taxes under Mexican fiscal law (Ley del Impuesto Sobre la Renta and Ley del IVA).
3.4 Confidentiality and Data Protection: The Radiologist shall comply with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares and all institutional protocols regarding patient confidentiality. All radiological images and reports generated under this Purchase Order remain the property of Clínica Diagnóstica del Valle, S.A. de C.V.
3.5 Duration and Termination: This Purchase Order is valid for a period of four (4) weeks commencing June 23, 2025, and concluding July 20, 2025. Either party may terminate this Purchase Order with a written notice of seven (7) calendar days. Termination does not affect obligations accrued prior to the effective date of termination.
3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the State of Mexico and the Federal District (Mexico Mexico City). Any disputes arising from this Purchase Order shall be resolved through the competent courts of Mexico Mexico City.
3.7 Compliance: The Radiologist agrees to adhere to all institutional policies, radiation safety protocols, and regulatory requirements established by COFEPRIS and the local health authority in Mexico Mexico City.
4. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for Radiologist services in Mexico Mexico City. This document constitutes a binding agreement between the purchasing entity and the Radiologist for the professional services described herein.
