Terms and Conditions

1. Scope of Engagement: The Radiologist named in this Purchase Order shall provide all diagnostic imaging interpretation services, clinical consultations, and equipment oversight as specified in the line items above. All services shall be rendered at the Atlas Medical Center premises located in Casablanca, Morocco, or at such other location within the Casablanca-Settat region as mutually agreed in writing.
2. Service Period: The services under this Purchase Order shall commence on 1 July 2025 and conclude on 31 December 2025, unless extended by mutual written agreement between the parties.
3. Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Payment shall be processed via bank transfer to the vendor's account in a Moroccan financial institution. All amounts are denominated in Moroccan Dirhams (MAD) and are subject to the applicable 20% Value Added Tax (VAT) as per Moroccan tax law.
4. Regulatory Compliance: The Radiologist shall maintain a valid professional license issued by the Moroccan Ministry of Health and shall comply with all radiation safety regulations established by the Moroccan Nuclear Regulatory Authority (ASN). All imaging equipment procured under this Purchase Order must meet the standards set by the Moroccan Directorate of Radiology and Medical Imaging.
5. Confidentiality: The Radiologist and all personnel engaged under this Purchase Order shall adhere to strict patient confidentiality obligations in accordance with Moroccan Law No. 09-08 on the protection of personal data and the professional ethics code of the Moroccan Medical Council.
6. Delivery and Installation: The portable X-ray unit (Item 04) shall be delivered, installed, and calibrated at the Atlas Medical Center in Casablanca within fifteen (15) business days of the effective date of this Purchase Order. The vendor shall bear all transportation and installation costs.
7. Warranty: All equipment procured under this Purchase Order carries a minimum two-year manufacturer's warranty. The annual maintenance contract (Item 05) includes on-site response within 24 hours for any equipment malfunction at the Casablanca facility.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable for all services rendered and equipment delivered up to the date of termination.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Casablanca, Morocco.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Casablanca region.
