This Purchase Order is issued by Wellington Regional Diagnostic Imaging Centre (hereinafter referred to as the "Buyer") to engage the professional services of a qualified Radiologist, Dr. Sarah Mitchell, FRANZCR, operating under Wellington Radiology Associates Ltd (hereinafter referred to as the "Supplier"), for the provision of diagnostic imaging interpretation and reporting services. This Purchase Order is governed by the laws of New Zealand and is to be performed within the metropolitan area of New Zealand Wellington, in accordance with the standards set forth by the New Zealand Radiological Society and the Health and Disability Commissioner Act 2000.

- Scope of Engagement: The Radiologist engaged under this Purchase Order shall provide all diagnostic imaging interpretation, reporting, and consultative services at the Wellington Regional Diagnostic Imaging Centre premises located in New Zealand Wellington. The Radiologist must hold a current registration with the Medical Council of New Zealand and a valid Fellowship of the Royal Australasian College of Radiologists (FRANZCR).
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. All payments shall be made in New Zealand Dollars (NZD) via electronic funds transfer to the Supplier's nominated bank account. Late payments shall attract interest at the rate prescribed under the Interest on Debts Act 1977 (New Zealand).
- Service Level Agreement: The Radiologist shall provide a minimum of ninety-five percent (95%) report turnaround within twenty-four (24) hours for routine studies and within four (4) hours for urgent or emergency imaging requests. Failure to meet these benchmarks for three consecutive months shall constitute a material breach of this Purchase Order.
- Compliance and Regulation: The Supplier shall comply with all applicable New Zealand legislation, including the Health and Disability Commissioner Act 2000, the Privacy Act 2020, the Radiation Protection Act 1965, and all guidelines issued by the New Zealand Radiological Society. All patient data shall be stored and processed in accordance with New Zealand data protection regulations.
- Confidentiality: All patient information, clinical records, and proprietary business information exchanged under this Purchase Order shall be treated as strictly confidential. The Radiologist shall not disclose any such information to third parties without the prior written consent of the Buyer, except as required by New Zealand law.
- Termination: Either party may terminate this Purchase Order by providing ninety (90) days' written notice. The Buyer may terminate immediately in the event of a material breach, loss of Medical Council registration, or any conduct that brings the profession of radiology into disrepute within New Zealand Wellington.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved, the matter shall be referred to mediation under the New Zealand Dispute Resolution Service. Failing mediation, disputes shall be subject to the exclusive jurisdiction of the District Court of New Zealand, Wellington.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (earthquakes, tsunamis), pandemics, or government-mandated closures affecting operations in New Zealand Wellington.
This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. Upon acceptance, the terms set forth herein shall constitute a binding agreement between the Buyer and the Supplier for the provision of Radiologist services in New Zealand Wellington.
